1、 医生集团合作协议篇一：海涛集团医院合作经营合同 医院合作经营协议 甲方： 医院 （以下简称“甲方”） 乙方：海涛（中国）控股集团（以下简称“乙方”） 在国务院八部委联合发布的?关于城镇医疗卫生体制改革的指 导意见?以及省、市、区关于医疗卫生改革的具体实施办法、措施指导下，吸纳社会资金，促进医疗机构投资多元化，多渠道办医，实践所有权与管理权分离，使公有制卫生事业与市场经济真正有机结合起来，建立一个完全适应社会主义市场经济要求和新型医疗服务体系，不断满足人民群众多层次，多样化医疗需求的医疗机构，甲乙双方就托管科室事宜进行了多次认真探讨和协商，现达成协议如下： 一、 合作经营形式 1、 2立核算，

2、自负盈亏，具有规定范围内的经营自主权。 3、科室以医疗为主，具有 （非）营利性医疗卫生服务机构。 4、事长和董事各1人，乙方出任常务副董事长和董事各1人，甲、乙双方共同推荐考核，聘用科室主任1人，兼任董事，科室董事会组织必须报（区）卫生局审批备案。 5、科室董事会是科室的最高决策机构，负责研究科室发展方向，管理办法及董事会章程授予其他职权，董事会重大决议应报（区）卫生局批准后执行，常务副董事长具体负责科室的日常经营运作，并监督科室主任执行董事会决议。科室主任具体负责执行董事会决议并全权负责门诊的医疗业务管理。 6、甲方委派专职人员，对医疗质量及行政、财务、后勤等管理工作进行全程监督。 7、乙方

3、委派专职人员负责医疗市场的操作，并负责科室的行政、业务、后勤管理。 8、科室必须遵守国家相关的卫生法律法规和有关规定，规范医疗经营，确保优质的医疗技术，标准的服务收费，周到的医后服务。 二、 合作经营期限 1、合作经营期暂定为年，自月日至月 2、合作经营协议期结束，双方如需继续合作的，须提前三个月协商继续托管方案，签署托管协议，否则协议到期协议自然终止。 三、甲、乙双方的责任和义务 1、甲方的责任和义务1）负责提供科室经营所需的一切合法手续。 2）负责提供科室业务所需用房（具体见平面图） 3）负责向乙方提供国家及当地卫生主管部门之有关方针、政策、法规性文件以及上级主管部门的在关政令，按上级卫生

4、主管部门以科室各年度的工作要求负责拟订?综合目标管理方案?并监督检查。 4）负责监管科室国有资产的保值增值，负责科室财务运作日常监督，负责为开展医疗保健康复服务提供各种方便条件。 5）负责科室在整体长远规划实施过程中，与涉及政府相关部门进行沟通。 6）负责科室市场运作，广告宣传所需文书的报审报批工作。 7）负责解决科室工作人员的有偿食住问题。 2、乙方的责任和义务 1）乙方承诺在协议期内对科室的总投资不少于民币，并自协议生效日起天之内转入科室指定帐号 证科室有足够的周转资金。 2）乙方保证所投入资金以及本身机构的合法性并承担科室一切经济责任。 3）乙方承诺，不以科室名义对外发生与门诊医疗业务发

5、展无关的业务，不得转包、分包或变相转包、分包。 4）负责科室的经营、财务、后勤等日常管理，但必须接受甲方监督，乙方的市场宣传材料需报甲方审核、批复后方可发布。 5）负责筛选聘用科室符合要求的医疗技术工作人员或专家、教授，并报甲方审批备案。 6）乙方保证科室的财务运作符合国家相关性的法律、法规及会计法。 7）乙方保证科室执行中华人民共和国卫生法规及? 医疗管理制度?，确保合法经营。 8）乙方保证科室按甲方制订的各年度的?门诊综合目标管理方案?进行工作，并确保实现完成。 9）乙方必须按科室经营改革方案规定上缴甲方医疗风险金 分 四、财务管理、核算及分配 1、科室为医疗中心财务二级核算单位，必须配备

6、具有合法资格专职财务人员2人，其中助理以上职称会计1人，员级以上职称的出纳1人，收费员必须通过上岗前培训。 2、科室的财务核算必须严格执行会计法及相关财政法规和医院会计制度。 3、科室的经济核算必须以医院会计制度为基础，参考企业会计制度，实行全成本核算。 4、科室经营分配实行“保底上缴，超额按比例计提”的办法，具体规定为门诊年收入在 万元之内的部分，上缴甲方医疗发展基金每年 万元；超过 万元以上部分，超过部分按 %计提上缴。 为扶持门诊发展，前 个月为门诊装修改造期，免交医疗发展基金。 5、科室财务科于每季第一个月5日前，按分配办法规定，将该季度的医疗发展基金转入甲方指定银行帐户，年终按当年实

7、际收入，根据分配办法进行结算。 6、科室财务科于每月5日前将上月财务报表报送医院财务科，并 保证报表数据的准确与真实。 7、乙方因投资取得的合法收益，在确保科室发展和周转的前提下， 科室凭乙方提供的合法票据转至乙方指定帐户。 五、违约及违约处罚 1、甲、乙各方如没有按协议约定履行义务或虽有履行义务但不符 合协议的约定，都视为违约，违约一方应给对方一定的经济补偿。 2、若甲方违约 1）甲方应偿还乙方前期投资的万元。（减去使用年限的折旧额的差额） 2）科室使用的所有动产归乙方所有。 3）甲方另赔偿乙方 3、若乙方违约： 1）乙方投入科室的所有不动产归甲方所有。篇二：某医院集团协议书 某医疗集团合作

8、协议书 甲方： （核心成员单位） 乙方： （成员单位） 为了充分发挥医疗集团优势，优化我市医疗资源配置，建立上下 联动、分级医疗、双向转诊的分工协作机制，构建公益目标明确、布局合理、结构优化、功能完善、富有效率的公立医院服务体系，提高基层医院医疗服务水平，努力实现强基层、建机制目标，不断满足人民群众日益增长的医疗服务需求。根据自治区卫生厅制定的宁夏医疗集团管理办法（暂行）（宁卫医政2013115号文件）吴忠市人民医院本着责任、协作、创新、奉献的精神，与合作伙伴一道，不断提高医疗技术水平、创新医疗服务模式，持续开发和满足患者的需求。 基于以上愿望，我们愿与合作伙伴一道，共同为人民健康事业贡 献力

9、量，提高生活质量，满足人民群众更优质、更经济的医疗服务需求。 一、合作内容： 1、医疗集团内医疗资源共享。大型设备共享，集团内拥有的直线 加速器、CT等大型医疗设备和特殊检查项目，各医院可共享；在符合质量控制标准的情况下实行检查、检验结果互认，逐步建立各种临床检验、功能检查及特殊检查项目申请和检查报告通用制度，共同建立网络数据信息平台，实现信息共享；院内制剂在集团内可流通使用；医院后勤服务可统一管理，以降低成本。 2、医疗集团内医疗技术人员根据医疗需要合理流动，在集团广泛 开展多点执业。核心医院要根据成员医院需求确定技术人员支援基层医院，按照定医院、定人员、定期限、定目标“四定”原则落实好对口

10、支援工作。核心医院技术人员到基层帮扶时应给予优惠政策，同等条件下可优先晋升职称，并按国家有关要求予以相应的补贴。 3、医疗集团内各级医疗机构间会诊程序可参照院内会诊程序管 理，各医院要充分利用远程医疗会诊系统，开展远程会诊和远程教育服务。 4、集团要认真落实双向转诊制度，严格按照医院级别和执业范围 收治病人。核心医院和其他三级医院成员要将术后恢复期患者、康复患者和慢性病患者如普通高血压、糖尿病、陈旧性心梗、脑梗塞稳定期、癌症术后等患者转到二级医院治疗，逐步提升转诊率。集团要逐步完善下转病种类别、指征、分级诊疗指南和标准，一集团信息化为平台，争取实现信息资源共享。 5、医疗集团核心单位要利用科研

11、优势积极联合并指导成员单位 开展临床科研工作；优先安排成员单位管理干部来挂职交流学习和技术人员进修学习，并给与适当的费用减免；积极举办各类学术交流会议，提高成员单位的整体医疗技术和管理水平。 共同职责： （一） 遵守国家法律法规和理事会章程，执行医疗技术操规范。 （二） 制定工作计划，签订协作协议。（三） 提高服务质量，控制医疗费用，控制指标达标。 （四） 保障医疗安全，减少医患矛盾，医疗纠纷次数逐年减少。 （五） 实施分集医疗，构建服务体系。 （六） 加强医德医风教育，提升群众满意度，满意度测评逐年提 升。 核心成员单位职责： （一） 充分发挥核心成员作用，对集团各成员单位提供全力技术 支持

12、和对口帮扶，使各成员单位充分享受到加入医院医疗 集团的各种实惠。 （二） 指导成员单位重点学科建设，指定科室及专家对成员单位 进行一对一帮扶，帮助成员单位三年内发展一个重点学科； 开展多点执业及双向转诊。 （三） 利用科研优势积极联合并指导成员单位开展临床科研工 作。 （四） 利用仪器设备优势为成员单位提供优质检查、优先服务。 （五） 对成员单位转送至核心医院的急危重症患者实行“绿色通 道”制度。 （六） 优先为成员单位业务骨干提供技能和技术培训，每年不少 于5名 （七） 优先接收成员单位管理干部来院挂职交流学习，每年不少 于2名。 （八） 积极向成员单位提供参加各类自办的学术交流会议，每年不

13、少于10次。 （九） 自觉维护成员单位的声誉和利益。 （十） 逐步帮助各成员单位实现后勤保障集团化管理。 （十一） 每年对集团运行情况进行自评，向卫生厅报告集团运行 情况。 成员单位职责： （一） 执行集团理事会的决议。 （二） 负责辖区内集团的宣传工作，全力维护集团的声誉和利益， 提高集团市场竞争力。 （三） 主动选派适宜人员到核心医院学习管理和技术，中级以上 技术人员三年内要全部轮训一遍；积极参加集团组织的各 种活动。 （四） 尽力完成核心医院交办的业务工作；及时整改核心医院指 出的各种问题。 （五） 对集团理事会工作进行监督，并以成员单位名义向理事会 提出工作意见和建议。 （六） 理事会

15、牌，结合乙方医院运营管理的成功经验，双方同意在梁山县第二人民医院实行门诊、病房统一管理，建立以妇产科为特色的诊疗中心，并以此，提高医院的医疗技术与服务档次，提升医院妇产科的综合实力，在山及周边区域形成以妇产 科为特色的专业品牌。 经双方友好协商，第二人民医院（以下简称甲方）聘请（以下简称乙方）全权管理妇产科” （以 下简称妇产科）的合作事宜达成如下意向。 第二章 合作双方 甲方： 乙方： 第三章 合作目标及范围 合作目标： 根据双方的实际情况及需求，本项目将采取目标责任制管理模式，乙方协助甲方进行科室管理，负责妇产科部分医务人员岗前及在岗培训，承担医疗设备投入、市场营销推广、企划宣传费用及装修

16、经费。甲方负责医疗质量的控制管理。通过双方共同努力逐步将梁山县第二人 民医院妇产科建成梁山县妇产中心。 合作范围：妇产科门诊、及妇产病房。 第四章 投资方式与资金来源 在现在妇产科的基础上，由乙方投资拓展医疗业务，改造装修现有病房及增建简易病房扩大 收容； 从而获取更大的投资回报，产生更大的社会效益和经济效益。 以上所需资金由乙方出资投入，预算约为700万元，分六年由合作科室返回。 第五章 组织结构 甲、乙双方派员组成“妇产科”管理委员会（以下简称“管委会”），管委会为“妇产科”的决策机构，甲方担任管委会主任，乙方担任副主任。医务科主任、护理部主任及临床科室主任自 动成为管委会成员。一、管委会

17、主任具体负责如下工作： 1、负责“妇产科”的医疗、科研、教学及疾病预防工作。 2、制定“妇产科”工作计划，深入科室了解和检查医疗和护理安全的情况，组织科研、教学 工作的实施，经常督促检查，按期总结汇报。 3、执行院部对“妇产科”的医护质量、感染管理的各项规章制度及诊疗技术操作规范，积极 配合院部相应的检查。 4、参与院部各项会议，传达会议各项内容，执行会议决议事项。 5、定期查房，共同讨论解决重症疑病例诊断、治疗上的问题；组织术前讲座、临床讲座； 组织指导危重病员的抢救工作。 6、组织“妇产科”人员业务学习，运用国内外医学先进经验，开展新技术、实行新疗法并及 时总结经验。 7、负责“妇产科”医

18、疗纠纷的防范和处理工作，不断提高医疗护理质量，严防差错事故的发 生，并负责落实重大事故上报制度。（详见医疗差错事故管理办法） 8、加强人事工作管理，做好职工思想政治工作，增强凝聚力，努力完成“妇产科”各项任务， 认真抓好职工队伍建设，培养发现并储备人才。 9、确定医生轮转、值班、会诊、出诊等医疗工作安排。 10、落实“妇产科”主任、“妇产科”医疗、经营副主任等人员的岗位职责，各司其职、各负其责、相互配合，遵守财务制度，加强财务纪律，认真执行“管委会”制定的各项规定和制度。 12、负责与医院相关部门的联系、沟通，保证“妇产科”工作的正常开展。 13、对“妇产科”人员进行医德医风教育和爱护医疗器械

19、、仪器、设备的教育，充分发挥设备 效能。 14、完成院领导及“管委会”安排的其它工作。 二、管委会副主任具体负责如下工作： 1、协助“妇产科”主任工作，负责制定妇产科非医疗工作规章制度，努力完成“妇产科”年度 目标任务。 2、全面负责“妇产科”财务、企划、技术推广宣传、绩效考核、后勤管理工作，为“妇产科” 业务工作开展起到良好的保障作用。 3、遵守财经制度，严格报销制度，“妇产科”费用支出报销需由“妇产科”副主任签字认可， 并严格按照协议所定的财务规定执行。 4、认真做好“妇产科”业务收支、药品医疗器械往来、固定资产保管、库存和资金往来账目 与报表，并及时上报。 5、负责市场调研、公关促销，对

20、广宣方案、视觉设计、媒介发布等对外宣传活动进行总体 策划组织、贯彻执行、效果监控、完善提高。 6、掌握“妇产科”业务工作动态，按时填报业务报表，协助“妇产科”主任分析、解决业务中 存在的问题。7、对“妇产科”人员进行医德医风教育和爱护医疗器械、设备、仪器及优化办公环境意识的 教育。 8、协助“妇产科”主任进行对外关系协调工作。 9、完成“妇产科”安排的其他工作。 第六章 “妇产科”管理 一、“妇产科”是医院下属的临床科室，该科室门诊、急诊病房实行统一管理，采取独立核算，利益分成的管理机制，为方便患者，在“妇产科”逐步实行检查、诊断、治疗一条龙服务。 二、“妇产科”在相对独立区域内完成病人的诊治

21、，经双方同意设在本科内的诊疗项目，可以在科内完成。发生在甲方相关辅助科室的检查费用按甲：乙=5：5比例分成，并单独核算，不列入“妇产科”营业毛收入之中，作为乙方收入。“妇产科”与甲方之间按甲方现行经济管理 办法执行。 三、“妇产科”在设备、药品、耗材的管理上按国家有关标准执行，遵守国家有关法律和规章制度，所需专科设备、药品耗材由“妇产科”组织购置，进入甲方药品、器械仓库，根据需要 由“妇产科”领用，其它的普药采购收入归甲方所有。 四、“妇产科”重大问题由管委会集体研究决定，管委会每年至少召开一次会议，讨论技术引进，营运目标和发展计划等重大事项。临时遇到重大事项，可召开临时会议双方协商。 五、“

22、妇产科”要严格贯彻落实本医院的各项规章制度，随时接受上级的各项检查，特别是医 疗护理质量检查、医院投诉的调查等。 六、“妇产科”要坚持党支部的建设，树立良好形象，自觉维护医院的利益和声誉，如遇到突发事件、战备等任务时，纳入医院统一安排调整，保证完成上级医院交给的各项任务。 七、“妇产科”要坚持为人民服务为宗旨。 八、“妇产科”要严格遵守国家的政策法规及广告管理规定。 第七章 双方责任和任务 一、甲方责任和义务 （一）甲方提供医院现有妇产科医疗用房及办公场所，水、电取暖设备等。甲方所属的医疗、技术、辅诊、财务、安全保卫、后勤及行政科室，应向“妇产科”提供完善的管理服务。 （二）根据“妇产科”工作

23、需要，被聘用的非甲方医务人员由“妇产科”发放工资、奖金；被聘 用的甲方医务人员由“妇产科”发放奖金，人事关系仍由甲方负责。 （三）甲方负责办理物价申请，新闻发布等工作，经费由乙方负责，征得甲方同意后，乙方 可在院内制作宣传栏、标牌以及印制专科宣传资料并对外宣传。 （四）根据需要，甲方为“妇产科”提供外线电话（经费由乙方负担）和内线电话。 （五）甲方对“妇产科”的医疗新技术、管理模式，经济运行情况等严格保密。 （六）甲方协助办理“妇产科”委托的其它事宜。 二、乙方的责任和义务（一）乙方根据实际所需投资购买“妇产科”所需的医疗设备，并负责设备的管理、维修、保 养。 （二）征得甲方同意后，乙方可对“

24、妇产科”门诊、病房闲置房屋进行装修、改造。 （三）乙方根据业务需要，开拓市场、制订对外宣传计划，所需费用由乙方承担，宣传材料 需经甲方机关审定同意。 （四）乙方负责聘请具有高级专业技术或知名专家与甲方专家共同组成“妇产科”高级顾问 组，负责专家门诊、会诊，确保“妇产科”的诊断、治疗质量的不断提高。 （五）“妇产科”医、技、护等人员若短缺，由“妇产科”招聘，列入甲方招聘人员管理，工资、奖金等费用由“妇产科”承担。所聘医务人员应具有相应的“执业资格”，并向甲方提供身份证、执业证、职称证的复印件等材料，由甲方医务处、护理部审核并备案。如现有医务人员不服 从“妇产科”管理，报医院党委研究由医院另行安排

25、工作。 （六）“妇产科”若发生医疗纠纷和差错。由甲方出面按医院的相关程序进行调解和处理，并 征得乙方同意，所造成的经济损失列入“妇产科”成本。 （七）“妇产科”负责办理甲方委托的其它事宜。 第八章 财务管理及经济分配原则 一、合作期限为12年，双方按经营利润进行效益分配。 1、第1-6年，甲方每年划拨10万元作为甲方的收入； 2、如果第5年实际年营收高于360万元的预计年营收，超出部分按8%计提给梁山县第二人 民医院作为上缴利润； 3、如果第6年实际年营收高于360万元的预计年营收，超出部分按8%计提给梁山县第二人 民医院作为上缴利润； 4、第7-12年，甲方每年按“妇产科”毛收入的14%作为

26、甲方的收入。其余部分归乙方所有。 二、根据医院有关规定，收费全部由甲方统一进行，“妇产科”不得另行收费。甲方应严格遵守财务制度，做到收支账目清晰。双方账目实行日清月结，每月3日前结算（节假日顺延）， 并汇入双方指定账号。分成比例，从项目合作开始即日起计算。 三、“妇产科”的收益。“妇产科”的收入包括挂号费、治疗费、处置费、观察费、检查费、医用耗材费、麻醉费、手术费及住院费等。扣除在甲方请领的药品、血制品、卫生消耗品、氧 气、等成本后为“妇产科”的收益。 第九章 合同期限 本合同期限为12年，自2011年 7月 1日至2023年 7月 1日，本合同一式四份，双方各 执两份，均具有同等法律效力，自

27、双方盖章、法人代表签字之日起生效。 第十章 其他事项 一、甲、乙双方合作期间，均应认真履行合同规定的双方责任和义务，本着“求大同，存小异”和互谅互让的原则，尽力维护病人和甲、乙双方的权益，确保合作顺利进行。甲、乙双方如 违反合同，守约方有权要求解除合同，并要求违约方承担由此产生的经济损失。二、由于合作一方不履行合同规定的义务，或严重违反合同规定，造成“妇产科”无法经营，守约方有权终止本合同，并要求违约方赔偿由此造成的一切损失（甲方终止合同，应赔偿乙方投入的所有的“妇产科”设备、药品、耗材和房屋装修改造费用的即时作价款，乙方终止合同，乙方投资的所有设备及装修改造等归甲方所有）。如要继续经营，应在

28、违约一方赔偿另 一方的经济损失后方可进行。 三、合同到期后，如甲方有意继续合作，在乙方提出申请，并附评估报告，绩效说明等时， 乙方享有优先续约权。 四、合作期满后，“妇产科”设备归甲方所有（其中不含药品、耗材等）。 五、甲、乙双方如遇不可抗力的原因（地震、水灾、战争等）终止本合同，可免除相关责任。 六、本合同未尽事宜，由甲、乙双方协商解决。本合同及附件经双方签字、盖章后具有同等 的法律效力。 七、本合同签字后，双方合作依此合同书各条款实施。本合同修改、变更、补充条款等，经 双方签章后具有同等的法律效力。 八、凡因执行本合同所产生的或与本合同有关的一切争议，双方应通过友好协商或调解解决。 如果协
