RECITALS鉴于甲方愿意录用乙方，乙方愿意到甲方工作，按照中华人民共和国劳动法、中华人民共和国劳动合同法 和上海市劳动和同条例 等我国国家和地方政府的有关法律法规和行政规章，以及甲方制定的各项规章制度，本着平等、自愿的原则，经甲、乙双方协商一致，特签订本劳动合同（以下简称“本合同”）。WHEREAS, Party A intends to employ Party B and Party B intends to work for Party A,In accordance with Labour Law of the Pe

9、owingcircumstances:1、乙方的工作地点由所在部门安排。 今后因工作需要乙方在甲方所在本市的全部经营办公场所及附属场所（包括公司自有产权的物业或租赁的物业，）之间调整时。1. Party Bs working site is to be arranged by the division he or she works in; PartyA is to change Party Bs working sitewithinallitsbusin ess officesand attachedsitesin the citywhere Party A is domiciled(inc

Party A assigns Party B to work at home or abroad on business travel for a short termon the basis of Party As working requirement.3、甲方因工作需要，安排乙方临时外借到其它部门或其它他单

In response to working requirement, Party A temporarily assigns Party B to work at other divisions of Party A or other entities.（四）因工作需要，乙方被指派到外省市或境外企业或机构长期工作的，协商一致后，本合同作变更处理。2.4 Where, in response to working requirement, Party A assigns Party B to work inenterprises or organizations located

12、 in other provinces or municipalities or abroad for long period, this Agreement may be altered on the basis of mutual consent through negotiation.精品文档精品文档第三条（工作时间和休息休假）Article 3 Working Hours and Holiday（一）乙方的岗位实行全日制标准工时工作制度，甲方安排乙方每日工作时间不超过8 小时，每周工作五天。3.1 Party B is to work under the full-time stand

13、ard working time system: Party A mayrequire Party B to work for no more than 8 hours every day and for five days every week.（二）甲方由于工作需要，经与乙方协商后可以延长工作时间，一般每日不超过1 小时，因特殊原因需要延长工作时间的，在保障乙方身体健康的前提下工作时间不得超过 3 小时，每月不得超过 36 小时。3.2 Ifnecessary for work,Party A may, on the basisof negotiationwith PartyB, exte

14、ndParty B s working hours for no more than one hour every day generally; where it isnecessary to extend working hours under specialcircumstances,such extensionof workinghours may not exceed three hours every day on the premise of being no harmful to PartyBs health, and no more than a total of 36 hou

15、rs every month.（三）乙方有享受国家规定的各类休息休假的权利，具体按甲方的职工工作时间及休息休假管理办法执行。3.3 Party B is entitled to all the holidays and leaves provided by the State, to whichthe Implementation Rules for Employees Working Hours and Holidays formulated by Party A shall apply.（四）如遇国家或本市政府有关部门调整工作时间和休息、休假时间，或甲方在特殊季节临时调整休息、休假时间的，

16、不作本合同变更处理。3.4 Where the Stateor the relevantauthorities of thislocal municipalityreadjuststheprovisions on working hours, holidaysor leaves, or PartyA readjusts the provisionsonholidays or leaves, this Agreement may not be deemed as being altered.第四条（劳动报酬） Article 4 Remuneration（一）乙方的劳动报酬包括每月发放的固定工资

17、和以及相关的津贴补贴、每季度考核发放的绩效工资等部分组成，按照甲方薪酬管理规定执行。合同签订后甲方发给职工薪酬告知书，具体明确薪酬类别和标准。职工薪酬告知书作为本合同的附件，与本合同具有同等法律效力。4.1 The remuneration for Party B includes fixed monthly salary, allowance, quarterlyperformance-based wage and the like, and the remuneration is to be paid in accordancewith Party A s regulations on r

18、emuneration. After execution hereof, Party A is to sendParty B a Notificationof Employees Remuneration, which specifies the type and standard精品文档精品文档of the remuneration; such Notification constitutes an annex to this Agreement and have the same legal binging force as this Agreement.（二）在履行本合同期间的日常操作中

19、，甲方依照职工薪酬告知书中约定的薪酬标准作以下扣除处理的，本合同不作变更处理。4.2 If, in the course of the performance of this Agreement, Party A deducts any paymentof the remuneration in accordance with the Notification of Employees Remuneration, this Agreement may not be deemed as being altered.1、由公司代扣代缴的个人所得税。2、由职工个人承担的社会保险费、住房公积金、企业年

20、金的扣款。3、因职工违反公司规章制度所发生违约金、赔偿等扣款。4、因职工发生事假等非带薪假期所作的扣款。5、因法院对职工涉案判决所指定公司执行的扣款。6、其它符合法律及公司制度而发生的扣款。1.Individual income taxes withheld and paid by Party A on behalf;2.The part of social insurance premium, housing accumulationfunds, enterpriseannuityto be borne by Party B;3.Penalty, compensation and the l

21、ike arising from Party Bs breach of Party Asregulations or rules;4. Deduction of remuneration made by Party A owing to private affair leave and leaves taken by Party B other than leaves with payment;5. Deduction of remuneration made by Party A under the order of court on the basis of the judgement o

22、f case concerning Party B;6. Deduction of remuneration in compliance with laws or Party As regul ation system.（三）在本合同期间，甲方因调增职工薪酬标准的，本合同不作变更处理。4.3 If, during the validity term of this Agreement, Party A increases the remuneration for employees, this Agreement may not be deemed as being altered.精品文档精

23、品文档（四）甲方每月 5 日以货币形式通过银行转账到乙方个人帐户的办法支付乙方工资，包括岗位工资、工龄工资及按月发放的相关补贴。乙方同意属于乙方可得的绩效工资、补贴津贴等按甲方薪酬管理规定的日期和形式发放，届时甲方以电子邮件等形式通知乙方。4.4 Party A shall, on the fifth day of each and every month, pay Party B remunerationby transferring the currency to Party Bs account through bank, including post-basedwage, workin

24、g age-based wage and relevantallowance to be paid on a monthly basis.PartyB agrees that all the performance-based wage, allowance and the like may be paid on the date and by the means provided by Party A with respect to remuneration, and Party A is to notify Party B by means of email of the payment

25、thereafter.（五）若乙方提供了正常劳动，甲方支付给乙方的工资报酬不得低于本市政府规定的最低工资标准。4.5 The remuneration paid by Party A to Party B may not be less than the minimum level provided by the local municipal government, provided that Party B provides normal work for Party A.（六）甲方每月向乙方发放上月工资清单。该清单属于保密范围，应妥善保管，不得泄露给本人家庭成员以外的任何第三人、员工之间

26、不得相互打探，如有疑义可以向甲方人力资源部咨询。4.6 Party A shall,on a monthly basis,send Party B remunerationlistforthe lastmonth;such remuneration list must be treated as confidential information and kept properly,and such list may not be disclosed to any third parties other than the family membersof Party B; employees m

27、ay not enquireof one another about the remuneration;in the eventof any objection, Party B may consult Party As human resource department.第五条（社会保险及其它）Article 5 Social Insurance and Other Matters（一）甲方按照国家和上海市的有关规定，为乙方交纳社会保险和住房公积金。5.1 Party A shall pay social insurance premiumand housing accumulation f

28、unds forPartyB in accordance with the relevant regulations of the State and Shanghai municipality.（二）乙方原意按照国家和上海市的有关规定，由个人承担的社会保险、住房公积金部分由甲方在工资中代扣代缴。5.2 Party B agrees that Party A may, from the remuneration payable to Party B, withhold the part of social insurance premium and public remuneration fu

29、nd to be borne by Party B and Party A may pay such withheld part on behalf, in accordance with the relevant regulations of the State and Shanghai municipality.精品文档精品文档（三）乙方因病或非因工负伤期间，享有上海市规定的医疗期和疾病休假待遇。5.3 If Party B suffers sickness or non-work-related injury, Party B is entitled to medical treatme

30、nt period and sick leave treatment provided by Shanghai municipality.（四）符合计划生育政策的乙方（女职工）享有本市规定的产假和其它特殊待遇，事前乙方须提出申请，经甲方（但不限于甲方，如果需要政府有关机构审核批准的）核准后执行。5.4 Party B (if Party B is a female employee) is entitled to maternity leave and other special treatment provided by this local municipality, provided t

31、hat she must be in compliance with the State s family planning policy and Party B shall submit an application to Party A (if the approval of the government is necessary, Party B shall submit such application to competent authorities) for approval in advance.（五）乙方享有甲方按国家或本市政府及甲方的规定设定的福利待遇，具体按甲方的有关办法执

32、行。5.5 Party B is entitledto the welfareprovidedby Party A in accordance with the relevantprovisions made by the State, the local municipal government or Party A; Party Asrelevant implementation rules shall apply to the welfare.（六）如遇国家或本市政府调整社会保险、住房公积金的政策，甲方相应调整乙方的社会保险、住房公积金的，本合同不作变更处理。5.6 If, in the

33、 event of the readjustment madeby the State or local municipal government of the policy on social insurance or housing accumulation fund, Party A readjusts the social insurance and housing accumulation fund for Party B accordingly, this Agreement may not be deemed as being altered.第六条（劳动保护、 劳动条件和职业危

34、害防护） Article 6 Labor Protection, Working Condition and Prevention against Occupational Hazard（一）乙方享有甲方提供的相应的劳动保护和劳动条件。（二）乙方享有甲方执行的国家劳动标准提供的职业危害防护条件。6.1 Party B is entitled to the corresponding labor protection and working condition by provided by Party A.6.2 Party A shallprovideParty B with preventi

35、ngconditionsagainstoccupationalhazardin accordance with the States labor standard.第七条（劳动纪律和规章制度）Article 7 Labor Discipline and Regulations and Rules精品文档精品文档（一）甲方应根据国家有关法律、法规，依法制定各项规章制度。（二）乙方应诚实守信，自觉遵守国家的法律、法规和社会公德、职业道德，自觉维护甲方的声誉和利益，保守甲方秘密。（三）甲方有权根据乙方的表现或行为，依据国家的法律、法规、行政规章和甲方的规章制度，给予乙方相应的奖励或处理。其中：1、乙

36、方如发生符合甲方职工奖励办法规定的积极行为的，甲方可以按照职工奖励办法给与乙方奖励；2、乙方如发生违反甲方规章制度的消极行为的，甲方有权按职工违规处理办法给与处理。7.1 Party A shallformulatevarious regulations and rulesin accordance with the State slaws and regulations.7.2 Pa rty B shall deport himself with sincerity and good faith, abide by the Stateslaws and regulations and soc

37、ial ethics and professional ethics, maintain Party Asreputation and interests initiatively and keep secret Party As confidentialinformation.7.3 Party A may award or treatPartyB as follows in thelight of PartyBs performanceand acts and inaccordancewiththeState s laws, regulations and administrativeru

38、lesand Party A s regulations and rules.1) If Party B has any positive actions deserving award as provided in Party As Rulesof Awarding Employees, Party A may award Party B in accordance with the Rules of Awarding Employees.2) If Party B has committed any actions in breach of Party As regulations or

39、rules,Party A may treat him or her in accordance with the Rules for Treatment of Employees in Breach of Regulations.第八条（教育与培训） Article 8 Education and Training（一）甲方可以根据工作需要不定期地对乙方进行所必须的教育与培训。（二）乙方应参加甲方的各项教育与培训安排。（三）凡由甲方出资培训乙方，双方另行签订培训/ 教育协议，因乙方原因而提前解除劳动合同，乙方应赔偿甲方的培训等费用，具体赔偿标准执行培训/ 教育协议的约定。精品文档精品文档8.

40、1 Party A may educate or train Party B irregularly when necessary in the light of the working requirements.8.2 Party B shall participate in all the education and training courses arranged by Party A.8.3 Where Party A investsin trainingof Party B, the two partiesshallconclude agreementfor education/t

41、raining separately; if this Employment Agreement is terminated earlierthan originally stipulated for reasons attributable to Party B, Party B shall compensate Party A the training fee in accordance with the stipulations in such agreement for education/training.第九条（保密约定） Article 9 Confidentiality（一）双

42、方签订本合同后，乙方应遵守甲方保密条例，不得泄露甲方秘密，不得在合同期内再受聘其他任何单位从事与甲方相同或类似或有竞争冲突的业务。不得引诱甲方的其他在职职工离职。9.1 Party B shall, after signing of this Agreement, observe Party As ConfidentialityRules, and may not disclose any of Party As confidential information; during thevalidityterm hereof,Party B maynot engage in any busine

43、ss similarwith or in competitionwith Party As business for any other employer, and Party B maynot induce other employeesworking for Party A to resign from Party A.（二）乙方在合同期内，属其岗位职务行为或主要利用甲方的物质技术条件所产生的所有专利、版权和其他知识产权归甲方所有，乙方无权进行商业性开发。9.2 Any and all patents, copyrights and other intellectual property

44、rights produced byParty B as his or her workduty or mainly by utilizing Party As material during thevalidity term of this Agreement shall be Party As property, and Party B is not entitled to any commercial rights pertaining thereto.（三）甲乙双方另订保密协议，具体确定双方的权利义务。乙方在本合同存续期间和终止解除后承担甲方保密协议中规定的保密义务。精品文档精品文档9

45、.3 Party A and Party B are to enter into Non-disclosure Agreement separately, so as tostipulate the obligations and rights of the two parties. During the validity term of this Agreement and after the termination hereof, the confidentiality obligation stipulated in the Confidentiality Agreement has b

46、inding force upon Party B.（四）乙方如在本合同存续期间，违反保密协议约定的，视作违纪行为，按职工违规处理办法有关规定处理。9.4 If,duringthe validityterm of thisAgreement, Party B breaches the ConfidentialityAgreement, Party B shall be deemed as having breached Party As disciplines and is tobe treated in accordance with the Rules for Treatment of Employees in Breach of Regulations.（五）乙方因违约给甲方造成经济或名誉损失的，应承担侵权赔偿责任，甲方有权利向乙方追偿经济损失。9.5 IfParty B breaches thisAgreement and therebycauses any economic loss or reputationloss,Party B shallbear the liabilitythereforand Party A mayhave the rightof recourseagainst Party B for any economic loss.精品文档
