3、rty B and Party C herebyagree to enterinto this Agreement and abide by it jointly.第一条房产成交甲方自愿将自有的房屋产权有偿转让给乙方。该房产符合北京市建设管理委员会制定的房屋上市标准, 甲方出售该房屋时亦同时将该房屋已分摊的土地使用面积和土地使用期限转让给乙方。房屋具体情况如下:1、甲方依法取得的房屋产权证号为:;2、房产位于【县】;房屋结构:,房屋用途:;(有产权车位的第2页共25页请特别注明)3、房屋建筑面积平方米;房屋使用面积平方米(可不填) ;4、房产权属转移时,附带附属设施状况及室内装饰情况见(附件二

8、person, legal person or organization, who ownthe title of the property together.Co-ownersID No.Intention for sale of the property第二条成交价格及付款方式一、成交价格甲、乙双方经协商一致,同意上述房产成交价格为人民币元;即人民币仟佰拾万仟佰拾元整;上述交易总价款包括: 【房价款】【公共维修基金】【室内不可移动之装修】 【空调】及其它【】。二、付款方式甲乙双方经协商一致,甲方认可乙方采取以下第种方式付款:1、现金支付乙方应在签订本合同当日,预先支付总房款的%,即人民币元

9、,(大写)仟佰拾万仟佰拾元整,作为保证双方履行合同的定金,该笔款项连同剩余款项经甲乙双方协第4页共25页商,决定采用下列第种方式:a) 全部支付给甲方,甲方开具相应的收款凭证;b) 暂时存入 21 世纪不动产北京区域分部在特定银行开立的监管账户内,由该银行监管该部分资金, 待该房屋权属过户手续办理完毕及物业交割后, 连同剩余房款一并支付给甲方。此业务须由甲乙双方与 21 世纪不动产北京区域分部另行签订交易资金监管委托协议;c) 剩余款项的支付:同时,甲、乙双方在此郑重确认:前述由21 世纪不动产北京区域分部进行的资金监管款项,一经进入资金监管账户即视同乙方已履行向甲方给付定金和房款的义务。2、

10、银行贷款(1)乙方应在签订本合同当日,预先支付总房款的%,即人民币元,(大写)仟佰拾万仟佰拾元,作为保证双方履行合同的定金;(2)乙方应在签订本合同日内,另行支付人民币元,(大写)仟佰拾万仟佰拾元,连同先前支付的定金(定金折抵首付款),一并作为首付款(首付款金额按照贷款银行的贷款条件不得低于房屋总价款的%)。上述( 1)、(2)款项经甲乙双方协商一致,决定采用下列第种方式:a) 全部支付给甲方,甲方开具相应的收款凭证;b) 暂时存入 21 世纪不动产北京区域分部在特定银行开立的监管账户内,由该银行监管该部分资金, 待该房屋权属过户手续办理完毕及物业交割后,连同剩余房款一并支付给甲方。此业务须由

11、甲乙双方与21 世纪不动产北京区域分部另行签订交易资金监管委托协议;c);第5页共25页同时,甲、乙双方在此郑重确认:前述由21 世纪不动产北京区域分部进行的资金监管款项,一经进入资金监管账户即视同乙方已履行向甲方给付定金和首付房款的义务。乙方采用银行贷款的方式支付剩余房款,由21 世纪不动产北京区域分部提供统一的金融按揭服务,乙方须与21 世纪不动产北京区域分部另行订立贷款委托协议。1) 经办理贷款的银行审批,乙方符合贷款条件的,贷款银行依据乙方签署的委托付款授权书将款项一次性划至甲方在同行开设的专用结算帐户。2) 经办理贷款的银行审批,乙方因自身原因尚不符合贷款条件的,双方经协商,选择方式

12、解决:A.自银行做出不予批贷的决定起日内,乙方自行筹集剩余房款,按照现金支付的形式支付给甲方,乙方承担在此期间发生的各项费用;B. 乙方独立或转托他人申请其他银行贷款,取得银行贷款后将款项支付给甲方,在此期间发生的各项费用由乙方承担;C. 终止本协议的履行,由甲乙双方返还相应款项,期间发生的各项费用由乙方承担。三、关于税费相关规定1、本合同履行期间内,甲、乙双方自行按国家及地方相关规定自行缴纳各项税、费,丙方协助甲乙双方进行相关税费的确认及计算工作。税费分担经甲乙双方协商,决定按照如下方式进行分担:甲方承担:;乙方承担:;双方对前述税费未约定、约定不明或遇政策调整的,双方应在权属过户之日前日内

13、协商并达成一致,否则,按国家相关法律规定缴纳;在上述房屋交付前未支付的物业管理费、水、电、燃气、通信费等其他费用,由甲方承担,房屋交付之后发生的前述费用,由乙方承担;2、上述税费可在丙方向应付费方预收后代为缴纳,相关部门所开具的完税凭证、行政第6页共25页事业性收据、工本费发票等单据,待代理事项完成后,由丙方交付给付费的一方。II. Sales price and terms of payment1. Sales PriceParty A and Party B agree that the sales price of the property beRMB;The price include

14、s: price of the property, public maintenance fund,permanent interior decoration, air-conditioners and others.2. Terms of PaymentParty B shall make the payment in accordance withas follow:A. CashUpon signing of this Agreement, Party B shall pay 10% of the price (sayRMB) as the deposit. This payment s

15、hall be made in accordance withas follow:a. Paid to Party A in full and Party A shall issue an invoice;b. Deposited temporarily to the escrow account of Century21 Beijing Region.This depositwillbe releasedonly when the titletransferfrom PartyA to PartyB is completed and the property handover has bee

16、n concluded, and the depositwill be released together with the remaining payment to Party A. To do this,Party A and Party B need to sign a separate Escrow Agreement with Century21Beijing Region.c.Payment method of the remaining amount:;Party A and Party B hereby agree that, for the afore-said method

17、 (b), once the第7页共25页escrow fund is deposited in the escrow account of Century21 Beijing Region, itis deemed that Party B has performed its payment obligation of deposit and thesales price.B. Mortgagea.Upon signingof thisAgreement,PartyB shallpay%of the price(sayRMB) as the deposit, which will be pa

18、rtof the downpayment.b.Withindays after signing of this Agreement, Party B shallmake up the rest part of the down payment (the down payment shall be no lessthan% of the price in accordance with mortgage banks requirement).Through the negotiation, Party B agrees to make the afore-said payment inway a

Paid in full amount to Party A and Party A shall issue an invoice;b.Depositedtemporarilyintothe escrow account of Century21BeijingRegion.This depositwillbe releasedonly when the titletransferfrom PartyA to PartyB is completed and the property handover has been concluded, and the depositw

20、ill be released together with the remaining payment to Party A. To do this,Party A and Party B need to sign a separate Escrow Agreement with Century21Beijing Region.c.Party A and Party B hereby agree that, for the afore-said method (b), once the第8页共25页escrow fund is deposited in the escrow account o

21、f Century21 Beijing Region, itis deemed that Party B has performed its payment obligation of deposit and thedown payment.If Party B makes the remaining payment with bank mortgage, Party B shall signa separate Entrusted Payment Authorization with Century 21 Beijing Region forits mortgage services.a.

22、If Party B satisfies the criteria of getting the mortgage loan through the examination of the lending bank, the lending bank shall remit the loan in lumpsum to the specialsettlementaccount opened by PartyA at the bank in accordancewith the Entrusted Payment Authorization.b. In case Party B does not

23、satisfy the criteria of getting the loan throughthe examinationof the lendingbank, Party B willchooseofthe followingmethods as the solution:i)Withindays after the bank decides not to provide the loan, PartyB shallraisethe remainingpayment by himselfand pay in cash to PartyA. PartyB shall bear all th

24、e expenses occurred during this period;ii) Terminate this Agreement, and Party A and Party B shall refund the moneywhich have been paid to each other.PartyB shallbear allthe expenses occurredduring this period.3. Taxes and feesA. Party A and Party B shall pay all the taxes and fees respectively inac

25、cordancewithrelevant regulations of the state and localgovernments. Party第9页共25页C shallassistPartyA and PartyB to calculaterelevanttaxesand fees.Throughnegotiation, Party A and Party B agree to bear the taxes and fees as follows:Party A shall pay:Party B shall pay:For any taxes or fees unspecified,

26、unclear, or changed with the policy, PartyA and Party B shall reach a consensusdays before the title transfer,or PartyA and Party Bshallmake the payment in accordance withthe governmentregulation.Fees includingbut not limitedto propertymanagement fee,utilityfees forwater,electricity, gas, telephone

27、and others before the handover of the property isconcluded shall be born by Party A. And the fees after shall be born by PartyB.B. Party A and Party B may entrust Party C to pay the aforesaid taxes and feesand Party C shall transfer the payment proof, receipts and invoices issued byrelevant governme

28、nt to the parties that make the payment.第三条居间报酬的金额及支付方式因甲乙双方基于丙方的媒介服务而订立房屋买卖合同,丙方有权收取相应的居间报酬,因此甲乙双方在订立房屋买卖合同时,约定选择下列第种方式支付丙方的居间报酬:1、居间报酬由一方支付, 即方应于本合同签订当日按照房屋总价款的%,第10页共25页即人民币元向丙方支付居间报酬;2、居间报酬由甲乙双方分摊,即甲方按照房屋总价款的%,即人民币元向于本合同签订当日丙方支付居间报酬,乙方按照房屋总价款的%,即人民币元于本合同签订当日向丙方支付居间报酬。甲乙双方的房屋买卖合同订立后,因甲方或/ 和乙方的原因致

29、使合同未履行的,居间报酬不予退还。III. Commission and terms of paymentParty A and Party B agree to pay PartyC the commission forprovidingthe agencyservices in accordance withof the following payment methods:1. Born by one party. Partyshall pay% of the property price (sayRMB) to Party C upon signing of this Agreement

Shared by two parties.Party A shallpay%of the propertyprice (sayRMB), and PartyB shall pay%ofthe propertyprice (say RMB) to Party C upon signing of theagreement.The afore-said commission shall no be refunded by Party C to any party shallthis agreement fail to be performed due to default of eithe

31、r Party A or PartyB once this Agreement is entered by the three parties.第四条权属过户代理甲乙双方办理权属过户的所有证件资料准备齐全,由丙方为甲乙双方提供有偿的过户委托代理服务。丙方提供权属过户代理服务,权属过户的代理服务费金额为人民币元,第11页共25页由方于本合同签订当日支付给丙方,(或甲方支付元,乙方支付元);IV. Title transfer agency servicesParty A and Party B shall prepare the certificates and materials for ti

32、tletransferand PartyC shallprovidechargeabletitletransferservicesforPartyA and Party B with fees.The servicefee fortitletransferagency servicesisRMB. The feeshall be paid by Partyto Party C upon signing of this Agreement(or, Party A pay RMBand Party B pay RMBto Party C).第五条房屋交付1、甲乙双方同意,于办理权属过户手续(前/

33、后)日内腾出该房屋,并由丙方协助甲乙双方办理该房产的物业交割手续。若甲乙双方协商确定权属过户后办理物业交割手续,则由甲方向丙方预留押金元,待物业交割完毕核对无误后返还给甲方。2、甲方承诺, 自本合同签订之日起至该房屋物业交割期间,凡已纳入本合同 (附件二)的各项房屋装饰及附属设施被损坏或被拆除的,甲方应按被损坏或被拆除的房屋装饰及附属设施评估值,向乙方支付赔偿金。3、甲方自行承担该房产物业交割前所发生的,应由甲方承担的物业及相关费用,物业交割手续办理完毕后,上述费用由乙方承担。4、甲乙双方同意在签订本合同后个工作日(以丙方通知为准), 持本合同和相关证件共同到房地产交易管理部门办理产权过户手续

34、。办理产权过户手续中所发生的相关税费、土地出让金及手续费按国家规定收费标准由方支付。第12页共25页V. Handover of the property1.PartyA and PartyB agree thatPartyA shallvacate the propertydaysbefore the title transfer. Party C shall assist Party A and Party B with thehandover of the property. In case PartyA and PartyB agree toconduct handoverof the

35、 property after the title transfer, Party A shall pay Party C a depositin the amount of RMB, and thisamount will berefunded toParty B after the handover of the property is completed.2. Party A shall promise to compensate Party B for the damage to or the dismantling of the decorations and accessories

36、 covered by Appendix I of the agreement from the signing of the agreement to the handover of the property in accordance with the evaluation of the damaged or dismantled decorations and accessories.3.Party A shallbear the propertymanagement fee and otherrelevantfees beforethe handover of the property

37、 and the aforesaid fees shall be paid by Party Bafter the handover of the property.4. Party A and Party B agree to conduct the title transferdays aftersigningof thisAgreement takingtitlecertificateand relevantmaterial.PartyC willinformthe specificdate.Partyshallpay the taxes and fees fortitletransfe

38、r in accordance with the government regulations.第六条甲方的权利和义务(一)甲方的权利:1、甲方有查验乙方身份的权利;2、甲方有按合同约定取得定金、房款的权利;第13页共25页3、甲方有追究乙方违约责任的权利。(二)甲方的义务:1、向乙方提供真实、完整和有效的房屋相关资料的义务;2、有向乙方告知房屋真实状况包括但不限于出租、抵押、渗漏和其他瑕疵的义务;3、房屋产权转移后日内将与本房屋相关户口迁出的义务;4、如期配合乙方进行产权转移的义务;5、在房屋交付乙方前,保证本合同所列房屋附属设施和设备的完好和状况良好;6、在房屋交付乙方前,保证缴清与房屋相

39、关且应由甲方支付的各项费用。VI. Rights and obligations of Party A1. Rights of Party AA.Party A shall have the right to check Party Bs identification.B. Party A shall have the right to get deposit and property sales price as stipulated in the Agreement.C.Party A shall have the right of lawsuit upon Party Bs breach

40、 to thisAgreement.2.Duties of Party AA. Party A shall provide Party B with true, completed and valid information about the property;B.Party A shalldiscloseto Party B the realfactsabout the property,includingbut not limited to the rental, collateral, leakage and other defect of theproperty;C. Party A

41、 shall change its residence address at the property days after title transfer;D.PartyA shallcooperatewithPartyB fortitletransferin a timelymanner;第14页共25页E. Party A shall guarantee all the facilities and accessories of the propertydescribedin Appendix I are in good conditionupon the handover of the

Party A shall pay off all the fees related with the property before the handover of the property.第七条乙方的权利和义务(一)乙方的权利:1、乙方有权查验与甲方所售房屋相关的手续、合同和证件;2、乙方有权实地查验房屋的状况;3、乙方对房屋的实际状况有知情权;4、乙方有追究甲方违约责任的权利。(二)乙方的义务:1、乙方有按合同约定支付定金和房款的义务;2、乙方有如期配合甲方办理产权转移的义务;3、乙方有提供真实、完整和有效身份资料的义务。VII. 45、alid identification material.第八条丙方的权利和义务1、为甲乙双方提供订立合同的媒介服务,为甲乙双方提供签约场所,见证甲乙双方签订房屋买卖合同;2、按期为甲乙双方提交相关材料,并及时向甲乙双方通报工作进展情况,协助甲乙双方办理物业交割手续。VIII. Rights and obligations of Party C1. Party C shall provide agency services for Party A and Party B for signing this Agreement, providing the signing place, and b

46、earing testimony of signing this Agreement;2. PartyC shallprovidePartyA and PartyB relatedmaterial,update them thetransaction process and assist them withproperty handover.第九条甲方的违约责任(一)因甲方提供的房产相关手续、合同和证件不真实、不完整或无效导致房屋产权无法转移或房屋无法交付使用的,甲方应向乙方双倍返还定金;(二)甲方未按本合同约定的期限将上述房屋交付(包括房屋交付及房屋权属转移)给乙方,甲、乙双方同意按下列第款

47、内容处理。1、每逾期一日,甲方应向乙方支付已收款%的违约金,合同继续履行;2、甲方逾期日未交付房屋或未按期配合产权转移手续的,乙方应书面催告甲方,第16页共25页自收到乙方书面催告之日起的日内,甲方仍未交付房屋或进行产权转移的,乙方有权单方解除合同,甲方应向乙方双倍返还定金,若甲方由此给乙方造成经济损失的,应由甲方据实赔偿;(三)因甲方未完全告知房屋真实状况包括但不限于出租、抵押、渗漏、质量缺陷等其他重大瑕疵的,甲、乙双方同意按下列第款的内容处理:1、甲方应向乙方支付房屋成交价格%的违约金,合同继续履行;2、甲方承诺于日内,保证房屋处于无瑕疵的状况并为乙方所接受,合同继续履行。否则,乙方有权单

48、方解除本合同,甲方应向乙方双倍返还定金,若甲方由此给乙方造成经济损的,应由甲方据实赔偿;3、乙方有权单方解除本合同,甲方应向乙方双倍返还定金,若甲方由此给乙方造成经济损的,应由甲方据实赔偿。(四)因甲方未如期将与本房屋相关的户口迁出的,甲方除应于日内完成迁出手续外,还应向乙方支付元的违约金;(五)因甲方管理不善或故意将合同中约定的装修、房屋附属设施和设备损坏的,应按被损坏物品的实际价值向乙方补偿并应向乙方支付元的违约金。IX. Breach of the Agreement by Party A1. Party A shall refund doubled deposit to Party B

49、 in case the title of the property fails to be transferred or the property fails to be handed over due to the false, uncompleted or invalid certificates, contracts or material in relation with the property provided by Party A;2.In case Party A fails to hand overthe aforesaid propertyto Party Bwithin

52、y A. In this case, Party A shall return double the deposit to Party Band compensate Party B economic damage due to the default.3. In case there occurs any damage on Party B as the result that Party A fails to disclose to Party B the real facts about the property, including but not limited to the ren

53、tal, collateral, leakage and other defect of the property,Party A and Party B agree to adoptof the following solutions:A.Party A shall pay Party B% of the property sales price parday as the default fine and the agreement shall continue to be effective.B.PartyA promises to recoverthe propertyto the c

54、onditionsatisfiedby PartyB withindays, and the agreement shall continue to be effective.Otherwise, Party B reserves the right to terminate this Agreement and in thiscase, Party A shall return double the deposit to Party B and compensate PartyB economic damage due to the default.C. Party B reserves the right to terminate this Agreement and in this case,Party A shallreturndouble the depositto Party B and compensate Party B economicdamage due to the default.4.
