2、ke to reta in Party B as its legal coun sel, accord ingto Law on Legal Counsel of the Peoples Republic of China Thetwo parties through consultation hereby agree upon, and shall bebound by, the follow ing terms:Article IParty A will designate【,as the lawyer employed by B, towork as As legal counsel.【

4、a party, andbeconcernedwithdrafting,modificati on,reviewi ngandexam in ati onof thelegal docume ntssuch as con tractsandagreeme nts or prepari ng legal docume nts that is n eeded in the n egotiati ons;iii . Provideeconomicand legal informationpertain to thebus in ess operati on of the clie nt;iv . R

5、epresent the client in the litigation of criminal, civil, economicand administrative cases; offer strategic legal advice in litigationand arbitration as a legal advisor, preventing or negating legal risk；v . Help to set up and organize files of legal documents and alarmany legal risk;vi .Re nderlega

6、l con sulta ncy forbus in essoperati on andman ageme nt of clie nt;vii . Participate in important economic activities of client, offering allfollow up services if n ecessary;诡.Provide legal documentssuch as legal opinion, lawyer sadvice, lawyer s testimony and lawyer s letter etc;ix . Credibility in

7、vestigation upon request: investigation on the entity qualificati on,bus in ess registrati on, legal status, true ide ntity,backgr ound, status quo ofbus in essoperati onandman ageme nt and assets status of the cooperati on part ners and clie nts of clie nt;x. Upon Client s requelParty B should rese

8、arch, gather andexplain any related law, rules, and regulations, and provide practical operational guidelines for the clients;xi. Party B may sign, send and deliver legal documents with the authority of the clie nts;xii. Other services after n egotiati on and agreeme nt by the twoparties.Articlein P

9、arty A s Obligationsi . Party A shall provide convenience to legal coun sels appo in tedby Party B and specially appo int a pers on to keep regularcon tact with the coun sels of Party B;ii. Party A shall offer cha nces to the coun sels appo in ted by Party Bfor atte nding clie nt s bus in ess meeti

10、ngs that are concerned inorder that Party B can render better legal services;iii . Party A should co mprehensively, objectively provide information, materials an d/or docume nts regard ing the legal affair to Party B within a reas on able time;iv . Party A has the responsibility to make independentj

11、udgments and decisions. Party B shall not be responsible for any loss in curred by Party A that is not caused by the n eglige nt advice ofParty B.ArticleIV Party B s Obligationsi . The Party B accepts the authorization of the Party A and assignslawyer 【 as the attorney to deal with Party A s legalaf

12、fairs;ii. The attorney assigned by Party B should take full responsibility toParty A s legal affair stipulated in ArticleII； i . Party B attorney should make the best efforts to maintain PartyA s ben efit by making judgme nt based on the law;s legal affairs promptlyV . Party B attorney must complete

13、 Party Aafter obta ining the materials provided by Party A;v . The attorney acting for the Party B shall not deal with anotherparty in a transaction or a dispute, without the agreement ofParty B, if the other partyterest Conflicts with Party B;vi . The attor ney act ing for Party B has an obligati o

14、n of notdisclos ing any trade secrets to a third party, uni ess agreed byParty B or san cti oned by law;vii . Party B shall keep a record of Party A s services; the recordmust h ave a complete log of Party A s services, along with theorigi nal evide nces, legal docume nts or any bel ongings whichsho

15、uld be kept properly.ArticleV reta ining fee and work expe nsei . The retaining fee is yban;Methods of payment:【.ii . Party A shall bear the cost in curred by the appo in ted lawyer ofParty B duri ng the course of bus in ess. The cost that shall beborne by Party A is included in the list, the list i

16、s not exhaustiveand the cost that shall be bore is not restricted by the list. The listcon sists of: The commissi on of survey, certificate n fee,tran slati on fee, outstati on expe nses (food, travel and accommodati on).Party B shall disburse the expe nses upon agree ing with Party A.Methods of pay

17、me nt accepted:【】ArticleWTerm in ati on of the con tracti . Con tract may be termi nated by mutual agreeme nt aftercon sultati on;ii . If the con tract is term in ated before con sultatio n:a. If Party B s appo in ted lawyer is replaced arbitrarily without theagreeme nt of Party A, Party A may term

18、in ate the con tract if, bythe result of the replaceme nt, Party A suffers sig nifica nt loss ordrop in quality of work;b. If Party A suffers a loss because of Party B s delay andderelicti on of duty, Party A may termi nate the con tract;c. If Party A suffers an important loss in document that is ca

19、used byParty B s n eglige nee in security obligati on and disadva ntageous legal opinion, Party A may term in ate the con tract;d. If Party A has not paid the agreed fee to Party B in the stipulatedtime and after Party B has served a no tice to Party A regard ing this matter, Party B may termi nate

20、the con tract if Party A still does not pay within the time given in the notice.ArticleW LiabilitiesBreach of Con tracti . The Parties shall strictly abide by this Con tract and shall not un laterally term in ate this Con tract before the expir ing dateof this Con tract; otherwise the default ing pa

21、rty shall pay the non-default ing party a pen alty which is equal to the proporti on of retai ning fee for the remai ning term of this Con tract;ii . Party A shall be liable for any damage caused by Party A failure of providi ng the legal advisor with n ecessary in formati on or materials concerned

22、in time;iii .If Party A fails to pay the attorney fee on time, Party B shall havethe right not to perform its obligati ons here un der or to term in atethis Con tract ;iv . If Party B, without proper reason, violates the agreement or doesn ot fulfill its obligati on un der the con tract, Party A may

23、 requestParty B to return all or part of the retai ning fees.A rticle 忸 Dispute solutio nIn the eve nt of a dispute, both parties must resolve the dispute ina friendly manner. If the dispute could not be resolved by mutualagreeme nt, any parties may make an applicati on to the Peoplecourt for the di
