3、、浮重及“此端向上”、“防潮”、“小心馨放”等m己。Thepackingofthegoodsshallbepreventivefromdampness,rust,moisture,erosionandshock,andshallbesuitableforoceantransportation/multipletransportation.TheSellershallbeliableforanydamageandlossofthegoodsattributabletotheinadequateorimproperpacking.Themeasurement,grossweight,netweig

7、D/P.TheBuyershalleffectthepaymentimmediatelyuponthefirstpresentationofthebill(s)ofexchange.(3)承兑交罩：It物彝建彳麦，方出具以黄方卷付款人的付款跟军隆票，付款期限卷彳麦日，按即期承兑交罩(D/A日)方式，通方金艮行及金艮行，东避黄方承兑彳麦，向St方醇交登，St方在隆票期限到期畤支付款。DocumentsagainstAcceptance:Aftershipment,theSellershalldrawasightbillofexchange,payabledaysaftertheBuyersdel

9、ermsofFOB,CFR,CIF).14.(DocumentsRequired):方鹰符下列军it提交金艮行ui付/托收：TheSellershallpresentthefollowingdocumentsrequiredtothebankfornegotiation/collection:(1)檄明通知收It人/受It代理人的全套清瀑的、已装船的、空白抬MM、空白背耆加注明建费已付/到付的海建/聊建/陛建提罩。FullsetofcleanonboardOcean/CombinedTransportation/LandBillsofLadingandblankendorsedmarkedfr

10、eightprepaid/tocollect;(2)檄有合同编虢、信用言登虢(信用It支付脩件下)及装建啰的商H亵票一式份；SignedcommercialinvoiceincopiesindicatingContractNo.,L/CNo.(TermsofL/C)andshippingmarks;(3)由出具的装箱或重量罩一式一份；Packinglist/weightmemoincopiesissuedby；(4)由出具的品IO登明善一式一份；CertificateofQualityincopiesissuedby；(5)由出具的数量It明善一式一份；CertificateofQuantit

11、yincopiesissuedby；(6)保正本一式一份(CIF交K脩件)；Insurancepolicy/certificateincopies(TermsofCIF);(7)筵樊的地It一式一份；CertificateofOriginincopiesissuedby；(8)装：通知(Shippingadvice):K方在交建彳麦小畤内以特快事遮方式垂B寄,由St方上述第一项军fit副本一式一套。TheSellershall,withinhoursaftershipmenteffected,sendbycouriereachcopyoftheabove-mentioneddocumentsN

12、o.15 .装：脩款(TermsofShipment):(1) FOB交JI方式方鹰在合同规定的装建日期前30天，以方式通知St方合同虢、品名、数量、金窿(、包装件、毛重、尺礁及装建港可装日期，以便St方安排租船/言丁脑。装建船堡按期到连装建港彳麦，如方不能按畤装船，彝生的空船费或滞期费由方K搪。在11物越遇船弦加脱蹄吊以前一切费用和由方K搪。TheSellershall,30daysbeforetheshipmentdatespecifiedintheContract,advisetheBuyerbyoftheContractNo.,commodity,quantity,amount,pac

13、kages,grossweight,measurement,andthedateofshipmentinorderthattheBuyercancharteravessel/bookshippingspace.IntheeventoftheSellersfailuretoeffectloadingwhenthevesselarrivesdulyattheloadingport,allexpensesincludingdeadfreightand/ordemurragechargesthusincurredshallbefortheSellersaccount.CIF或CFR交It方式方须按畤在

14、装建期限内符It物由装建港装船至目的港。在CFR彳行下，方鹰在装船前2天以方式通知St方合同虢、品名、亵票g值及船日期，以便St方安排保TheSellershallshipthegoodsdulywithintheshippingdurationfromtheportofloadingtotheportofdestination.UnderCFRterms,theSellershalladvisetheBuyerbyoftheContractNo.,commodity,invoicevalueandthedateofdispatchtwodaysbeforetheshipmentfortheB

15、uyertoarrangeinsuranceintime.16 .鹦M通知(ShippingAdvice):一俟装载完方鹰在一小畤内以方式通知St方合同编虢、品名、已彝建数量、凌票金缸毛重、船名/事/檄虢及改程日期等。TheSellershall,immediatelyuponthecompletionoftheloadingofthegoods,advisetheBuyeroftheContractNo.,namesofcommodity,loadingquantity,invoicevalues,grossweight,nameofvesselandshipmentdatebywithin

16、hours.17 .品5保if(QualityGuarantee):It物品IBM格必须符合本合同及品K保It善之烷定，品K保It期原潼t到目的港他月内。在保官登期限内，因裂造JS商在遂:言十裂造遇程中的缺陷造成的物损害鹰由方TheSellershallguaranteethatthecommoditymustbeinconformitywiththequatity,specificationsandquantityspecifiedinthisContractandLetterofQualityGuarantee.Theguaranteeperiodshallbemonthsafterthe

17、arrivalofthegoodsattheportofdestination,andduringtheperiodtheSellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.18 .(Inspection)(以下雨项任K):(1) 方须在装建前日委16梅ri海I横封本合同之物迤行梅嘴出具梅嘴登善，11到目的港彳麦，由St方委16梅ri湘行横瞬。TheSellershallhavethegoodsinspectedbydaysbeforetheshipmen

18、tandhavetheInspectionCertificateissuedby.TheBuyermayhavethegoodsreinspectedbyafterthegoodsrrivalatthedestination.(2)彝货前，裂造JS鹰封It物的品规格、性能和数量/重量作精密全面的横，瞬，出具梅嘴登明耆，明横瞬的技彳行资料和11到目的港彳麦，St方符申言青中I!商品检瞬局(以下fmw商检局)封11物的规格和数量/重量迤行榜rif,如彝现物残损或规格、数量典合同规定不符，除保公司或翰船公司的JT任外，St方得在物到连目的港彳麦日内懑商检局出具的梅嘴登善向方索IS或拒收iirtt。在

19、保It期内，如物由於避:言十或裂造上的缺陷而彝生损壤或品K和性能典合同规定不符畤，St方招委16中I!商检局迤行榜T，瞬。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.A

20、fterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisCo

21、ntract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,withindaysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsa

22、nd/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.19 .索IS(Claim):St方懑其委16的横魏湘出具的梅嘀登明善向方提出索IS(包括换H),由此引起的全部费用鹰由方搪。若方收到上述索踣彳麦天未予答覆，K唁公悬方已接受黄方索ThebuyershallmakeaclaimagainsttheSeller(includingreplacementofthegoods)bythef

23、urtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSeller.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithindaysaftertheSellerreceivedtheBuyersclaim.20 .遽交货典tO款(LatedeliveryandPenalty):除合同第21脩不可抗力原因外，如方不能按合同规定的畤交St方鹰同意在方支付to款的脩件下延期交货。to款可由ti付

24、金艮行在ti付款畤扣除，to款率按每一天收%不足一天畤以天算。但to款不得超遇遽交it物g的%如方延期交超遇合同规定天畤，st方有撤金肖合同，此畤，方仍雁不遽延地按上述规定向st方支付to款。黄方有因此遭受的其它损失向H方提出索ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditi

25、onthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat%foreverydays,odddayslessthandaysshouldbecountedasdays.Butthepenalty,however,shallnotexceed%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedel

26、iverydayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.21 .不可抗力(ForceMa

27、jeure):凡在裂造或装船建事俞遇程中，因不可抗力致使K方不能或推遽交寺，方不任。在彝生上述情况畤，方鹰立即通知St方，加在天内，给St方特快事遮一份由常地民商曾筵彝的事故It明善。在此情况下，方仍有任任探取一切必要措施加快交货。如事故延一天以上，St方有撤金肖合同。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortr

28、ansit.TheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithindaysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.Undersuchcircumstancesth

29、eSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.IncasetheaccidentlastsformorethandaystheBuyershallhavetherighttocanceltheContract.22 .事18的解决(Arbitration):凡因本合同引起的或典本合同有信封的任何愤商解决。若愤商不成，鹰提交珠海仲裁委K曾(中ft束)，按照申言青仲裁畤行有效的仲裁规即迤行仲裁。仲裁裁决是局的，封ft方均有反勺束力。Anydisput

30、earisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiation.Incasenosettlementisreached,thedisputeshallbesubmittedtoZhuhaiArbitrationCommission(GuanDongChina),Commissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbin

31、dinguponbothparties.23 .通知(Notices):所有通知用文U成，加按照如下位址用傅真/雷子垂B件/快件送连给各方。如果地址有建更，一方鹰在建更彳麦日内耆面通知另一方。Allnoticeshallbewritteninandservedtobothpartiesbyfax/courieraccordingtothefollowingaddresses.Ifanychangesoftheaddressesoccur,onepartyshallinformtheotherpartyofthechangeofaddresswithindaysafterthechange.24

32、 .本合同使用的FOBCFRCIF彳行系根揩M除商曾2000年HBW易彳行1朝的通心。ThetermsFOB、CFRCIFintheContractarebasedonINCOTERMS2000oftheInternationalChamberofCommerce.25 .附加脩款(Additionalclause):本合同上述脩款典本附加脩款抵斶畤，以本附加脩款卷准。ConflictsbetweenContractclausehereaboveandthisadditionalclause,ifany,itissubjecttothisadditionalclause.26 .本合同用中英文

33、雨槿文字U成，若ft方封本合同脩款有疑羲之虞，以中文脩款卷准。本合同共一份，自ft方代表筵字(盖章)之日起生效。ThisContractisexecutedintwocounterpartseachinChineseandEnglish,Ifbothpartieshaveanydoubttothiscontract,wewillrefertotheChineseedition.ThisContractisincopies,effectivesincebeingsigned/sealedbybothparties.黄方代表(筵字)：RepresentativeoftheBuyer(Authorizedsignature):壹方代表(筵字)：RepresentativeoftheSeller(Authorizedsignature):8
