9、orldpoint Prestasi Jaya.1.2 卖方：湖北银泰五丰粮食机械XXX。 1.2 Seller: Hubei Intepower Wufeng Food Processing Machine Co., Ltd.1.4 合同标的物：卖方将本合同附件一所列设备经安装、调试用以生产合同产品的成套碾米设备。 1.4 Contracted Items: All technology and equipments and coordinative auxiliary facility, used for produce contracted products, supplied by t

10、he Seller stipulated in Annex 3. 1.5合同产品：本合同标的物生产的具有本合同附件三规定的技术指标的产品。 1.5 Contracted Products: Produced by contracted item, have the specifications, quantities and assured values stipulated in Annex 3. All items are subjected to Buyer consultant approval.1.6 合同价格：买方因卖方提供本合同标的物而支付的本合同规定的总价。 1.6 Contr

11、acted Price: The aggregate Buyer should pay to the Seller in consideration of performance by the contractor of its all obligations.1.7合同币种：用以支付本合同价款的货币，即_美元。1.7 Contracted Currency: Used to pay the contracted price, i.e. USD.1.8 买卖双方银行：买方银行为 ；卖方银行为 。1.8 Two sides Banks: Buyers bank is , Sellers bank

12、 is . 1.9安装：本合同附件一规定的全部设备的装配、就位和连接等组装工作。 1.9 Installation: The fittings, locations, connections, etc, assemble work for all contracted equipments of contracted Items stipulated in Annex 4.1.10 试车：安装之后设备的单独或联动的试运转以检测设备的机械性能。 1.10 Operation Test: Plant Equipment Performance: The operation test of all

13、equipments or part after the installation, to ascertain whether the mechanical performance of the contracted equipment is able to attain the values of design. The detail is referring to the stipulations in Annex 4.1.11 投料试生产：将本合同标的物连接公用设施和投入原料以试制合同产品。 1.11 Commissioning Test Run: The contracted item

14、s described in Annex 4 connect with public facilities and be put into raw material and operate, to trial produce the contracted products.1.12 性能测试: 检测本合同附件三所规定的各项技术参数，包括设备的各项性能和产品的技术指标。1.12 Performance Test: To inspect all assured values as stipulated in Annex 3, including all performances of contra

15、cted equipments and technical index of all products. 1.13 验收：如果考核结果表明，合同标的物能够全部达到本合同附件所规定的各项技术参数，则视为买方所验收。1.13 Operational Acceptation: If after the examination and performance test, the contracted items can attain the all assured value stipulated in Annexes, is regarded as being operational accepta

16、tion by the Buyer. 1.14 装卸港口：装运港为上海港；卸货港为雅加达港。 1.14 Load and Unload Port: Load port is Shanghai China. Unload port is Jakarta Indonesia.1.15 工作现场：生产合同产品的场所，即_印度尼西亚Indrumayu。1.15 Work Site: The places to execute the contract upon, i.e. Indrumayu Indonesia. 1.16 现场代表: 合同双方各自任命的在工作现场代表己方全权处理与合同义务有关的一切事

17、务的人员。1.16 Work Site Representatives: Any person nominated by Buyer and Seller separately to perform the duties delegated by the Buyer and the Seller separately at work site. 1.17 技术文件：本合同附件二、三中所列的与合同标的物有关的设计、检验、安装、试车、投料试生产、性能测试、操作、维修等有关的全部技术数据、规格、图纸和文件。1.17 Technical Documents: All technical data, s

18、pecifications, drawings and documents relevant to contracted items design, inspections, installation, commissioning, commissioning test run, performance test, operation, maintenance, just stipulated in Annex 2, Annex 3 and Annex 4. 1.18 技术服务：就本合同标的物的设计、安装、试车、投料试生产、性能测试、操作、维修等工作，向买方提供的技术指导、协助。1.18 Te

19、chnical Services: The technical instruction, assistance and supervision provided by the General Contractor in design, inspection, installation, operation test, commissioning test run, performance test, operation and reparation of contracted items pursuant to stipulation on Annex 4. 1.19 技术培训：卖方根据合同标

20、的物的设计、安装、试车、投料试生产、性能测试、操作、维修等工作，向买方提供的技术上的培训。1.19 Technical Training: The Seller supplied training in technology, based the execution of design, installation, test operation, commissioning test run, performance Test, operation and reparation of contracted items. 1.20 检验机构: 中华人民共和国出入境检验检疫局设立在装货港和/或工作

21、现场的或邻近的分支机构。1.20 Inspection institution: the branch established in loading port and/or working site or neighbor by Entry-Exit Inspection and Quarantine Bureau of the P.R.C.1.21 保证期：保证期3个月，始于合同标的物验收通过之日，在此期间，卖方保证合同标的物的正常、稳定运行。详见本合同附件三规定。1.21 Guarantee Period: commencement with the date of operational

22、 acceptation, during the period, the Seller guarantee the proper and steady operation of Contracted Items, and eliminate any defect of contracted items. The detail is referring to the stipulations in Annex 3.1.22 合同生效日: 本合同经双方当事人盖章、授权代表签字日起正式生效。1.22 The date of effect: The contract is into validity

23、from the date the contract is signed by the Buyer and the Seller.第二章 合同范围 Clause 2: Scopes of Contract2.1 买方同意从卖方购买，卖方同意向买方出售合同标的物，其中包括本合同附件一、本合同附件二所列的所有设备和技术文件。卖方在保证期内免费提供技术服务和技术培训。2.1 The Buyer agrees to buy and Seller agrees to sell the contracted items, including contracted equipments, permitted

24、 patents/know-how, the design documents, technical documents, technical service and technical training which needed by contracted Item.2.2 卖方所供应的合同设备清单见附件一，合同标的物及合同产品的技术参数和保证指标见附件三。2.2 The Contracted Equipment supplied by Seller see Annex 1. The specifications, quantities and assured values of contr

25、acted equipments see Annex 3. 2.3 卖方应承担本合同标的物的设计工作。2.3 The Seller is responsible for the whole design of contracted items. 2.4 卖方应依据本合同附件二的规定向买方提交技术文件。2.4 The Seller shall submit the technical documents to Buyer accordance with the contract. 2.5 卖方应派遣有经验的、健康的和称职的技术人员到工作现场提供技术服务。2.5 The Seller shall

26、send veteran, healthy technicians to Work Site to provide technical service. 2.6 卖方应向买方的技术人员提供技术培训。2.6 The Seller shall provide technical training to Buyers technicians.第三章 价 格 Clause 3: The Price of Contract:3.1 卖方按本合同附件一规定提供设备、本合同附件二规定提供技术文件、按本合同附件四规定的时间完成安装、试车、性能测试、验收等项目并符合本合同附件三要求的合同标的物、合同产品的技术参

27、数及保证指标等样板工程的总价（FOB）为46,499美元。3.1 The Seller shall provide contracted equipments, authorized patents/Know-how, design and technical documents, technical service and training etc. demo project equivalent to total the price of contract USD 46,499 (forty six thousand four hundred ninety nine US dollars

28、only). 第四章 支 付 Clause 4: Terms of Payment4.1 本合同买卖双方的支付均以本合同货币通过买卖双方银行进行。4.1 Any payment under the contract between Buyer and Seller should be effected through the two sides bank stipulated in the contract.4.2 买方以下列方式进行支付： 4.2 The procedure of payments between two sides should be carried through as

29、hereby: 合同总价以不可撤销的信用证（L/C方式支付）。买方在本合同生效之日出具以卖方为受益人、金额为上述金额的不可撤销信用证。信用证有效期限 180天。 The contracted price should be paid by irrevocable Letter of credit. The Buyer should issue the irrevocable L/C in favor of Seller amount to contracted price described as above. The validity period of the L/C should be

30、before the date of June 30th, 2005. 4.3卖方在交货时应提交下列商业单据。4.3. The Seller should supply following business documents as delivery.A. 签署的商业发票一式四份；（发票注明支付金额和价格单）； A. Signed commercial Invoice in quadruplicate. (Notice the amount pay for and Price List);B. 详细的装箱单正本一式四份（注明包装重量、数量和对应的发票日期）；B. Detailed packin

31、g List in quadruplicate, noting the packing weight, No. and relevant date of Invoice;C按商业发票金额的110%投保一切险，注明可以在印度尼西亚以合同货币理赔的全套保险单据。C. Full set of Insurance Policy, covering all risk, amount 110% of value of commercial Invoice, notice that all insurance claim are payable in Indonesia in contracted curr

32、ency; D. 由生产厂家签发的品质证明书正本一份，副本三份； D. Quality certificate issued by manufacturers in one original and three copies;. E由湖北省国际贸易促进委员会签发的原产地证正本一份，副本三份；E. Certificate of the Original issued by Hubei provincial CITPC in one original and three copies;F由湖北省商检局签发的包装箱熏蒸证明正本一分，副本三份。F. Certificate of Heat Treatm

33、ent issued by Hubei provincial CCIQB in one original and three copies.4.4 在买方银行发生的费用由买方承担，而发生在买方银行以外的费用均由卖方承担。4.4 All the expenses occurred in the Buyers bank is on the account of Buyer; all the expenses occurred out of the Buyers bank is on the account of Seller. 第五章 交货和保险 Clause 5:Delivery and Ins

34、urance5.1 卖方应于收到信用证通知日后45天内将本合同附件一的设备运抵装运港装船。5.1 The Seller should finish the delivery of whole of equipments of contracted items within 45 days from the date of acceptance of L/C. 5.2 本合同设备的总毛重大约为_吨，净重为_吨，总体积大约为_立方米。5.2 The total gross weight of the contracted equipments is in Tons, the total net w

The unload port is Jakarta Indonesia. 5.4 合同设备保管如有特殊要求，卖方应提供英文说明书一式六份，说明在陆地运输和保管中的特别防范措施。5.4 I

36、f there are specific requirements in storage for contracted equipments, Seller should provide demonstrative documents in English in sixtuplicate, giving the specific protective procedure required for in inland transportation and storage.5.5 合同设备的装船应尽可能地单机成套，安装用的专用工具、材料、易损件应随主机一同交付，如果有通常装在甲板上的设备和材料，卖

37、方应负责进行适当的包装及采取特殊的保护措施。5.5 The shipping for contracted equipment should be whole set for every single equipment if it is possible. The specific tools, materials and vulnerable parts should be delivery with main equipments. If there are equipments shipped in dock in usual, the Seller pack them in prop

38、er and in specific protective procedure.5.6 在设备备妥待运前不迟于三天，卖方应以传真通知买方如下内容：5.6 Not less than 3 days before the shipping date of equipment, the Seller should advise Buyer below information:A合同号；A. Contract No.B合同备妥待运日；B. The date of equipment ready for shipping.C货物总体积；C. Total volume of every batch of

39、equipment for shipping.D货物总毛重/总包装件数；D. Total gross weight/Total piece of packing.E装船港口名称:上海；E. The name of load port: Shanghai, China.F危险品和/或易燃品的名称、重量和国际危险号； F. The name and international Nos. of danger and flammable. 5.7 卖方负责预订船位，应由卖方支付费用对此予以保险。 5.7 The Seller is responsible for booking ship and bu

40、rden the freight and premium.5.8 为了方便接收和陆地运输，卖方应在设备装船后24小时内，以传真通知买方下列事项：合同号、合同设备名称、实际装货数量、总的毛重、总的体积、船名、装船完成日期或开航日期、预计到达卸货港日期。如果卖方实际装船的合同设备件数与卖方前期的通知有差异，该差异应分别说明。 5.8 In order to facilitate the receipt and inland transportation, The Seller should inform Buyer in fax within 24 hour upon the finishing

41、of shipping with information: contract Nos., the name of contracted equipments, actual quantity of delivery, total gross, the name vessel, the date of shipped and set sail, estimated arrival date at unload port. If there are deviation between actual the piece of contracted equipments and Sellers pre

42、vious notice, these deviation should be given respectively Within 5 days after shipped, the Seller should airmail below documents each one to Buyer and consignee respectively: Bill of Lading, signed commercial invoice, manufacturers the certificate of quality, the certificate of origin, insurance po

43、licy/insurance certificate, packing List, etc.装船后五天内，卖方应分别向买方和收货人航寄提单、签发的商业发票、厂家的质量证书、产地证书、保单或保险凭据和装箱单等单据各一式一份。Within five days after loading, the Seller shall send B/L, commercial invoice with signature, certificate of quality from manufacturer, certificate of the original, insurance or evidence of

44、 insurance and packing list, etc. in one to Buyer and consignee separatively. 5.9 卖方应向信誉卓著的保险公司以买方为受益人按合同设备发票金额的110%投保一切险。按合同金额投保，并表明可在印度尼西亚索赔。 5.9 The Seller should make insurance with good-reputed insurance company in favor of Buyer, covering all risks, against 110% value of commercial invoice. Th

45、e insurance should cover the value of contracted price, the insurance claim must be available in Indonesia in contract currency. No free clause for claim cant be included.第六章 包装与标记Clause 6: Packing and Labels6.1 除非合同另有规定，包装应由卖方负责。卖方交付的所有设备应具有适合远洋和陆地运输和多次搬运、装卸、新的、坚固的木箱包装，卖方应根据设备的特点和需要采取防潮、防雨、防锈、防震、防腐

46、蚀和防其它损害等必要的保护措施，以保证合同设备安全无损地运抵工作现场。6.1 Provided other stipulated, the Seller is responsible for packing. All equipments supplied by Seller should packed with new, solid wooden case suitable for ocean and inland transportation , repeatedly transmit , load and unload. According to the characteristic a

47、nd requirement of these equipments, the Seller should take necessary protective measures of damp proof, rain-proof, rusty proof, shockproof, corrosion-proof and other measures, in order to convoy the all equipments into work sites without any damage.6.2 卖方对包装箱内和捆内的各散装部件均应系加标签，注明合同号、主机名称、本部件名称以及部件在散装

48、图中的位号、零件号。备件和工具除注明上述内容外，还需注明“备件”或“工具”字样。 6.2 The Seller makes label on every bulk part inside of packing case and bundle, indicating the contract Nos., the name of main machine, the name of part, the position Nos. and Part Nos. in bulk diagram. Besides above label, the words of spare part or tools s

49、hould be made on them in addition for spare parts and tools.6.3 卖方应在每件包装箱的邻接四个侧面上，用不褪色的油漆以明显易见的英文字样印刷以下标记： 6.3 The Seller should print in evident English below marks, on the adjoining four side face of every packing case with fadeless paint:A合同号；A. Contract No.B唛头标记；B. Marks.C目的港；C. Destination Port

Dimension ( Length Width Height , in MM )第七章 技术文件Clause 7: Technical Documents:7.1 本合同附件二规定了技术文件的内容。除非另有规定，技术文件应采用公制，说明和解释采用英文。

51、7.1 The content of technical documents is as described in Annex 2, Annex 3 and Annex 4. Unless other stipulated, technical documents should be compiled in metric system. The note and description should be in English.7.2 卖方提供的技术文件，应具有适合长途运输、多次搬运、防潮和防雨的包装，每包的封面上应注明下列内容： 7.2 All technical documents sup

54、e Seller should delivery the technical documents in the batch to the Buyer.7.4 在技术文件交付航运后24小时内，卖方应用传真通知买方交付日期、件数、航班号和大约毛重，并向买方提交下列文件： 7.4 Within 24 hours upon the delivery of technical documents, Seller shall notice Buyer by fax the date of delivery, quantity of piece, flight No. and approximate gro

57、rson responsible for the design and design exchange.8.2 买方顾问（Karta先生）作为代表，负责审核该生产线的国内外设计和设备；批准工地，安装、试车、投料试生产、性能测试和验收。 8.2 The Buyers Consultant (Mr. Karta) is the representative, and in charge to revise design, equipment whether in Egypt or abroad, approve site works, approve operation test, commiss

58、ioning test, performance test and issue the operational acceptation. 8.3买卖双方任何一方所承担的设计范围和所提供的技术文件应提前给对方，买方提交的地形和地质勘探技术文件应作为工厂设计依据。8.3 The scope of design and supplied technical documents undertake by every side should provide to count-partner advance. The landform diagram and geological survey infor

59、mation provided from Buyer should regarded as the design evidence for factory. 第九章 标准和检验 Clause 9: Standards and Inspections: 9.1 卖方对本合同设备的设计、选材、生产和检验等，应符合本合同附件三规定的技术参数和保证指标。9.1 All design, selecting material, production and inspection about contracted equipment made by Seller should be according to

60、 the prevail standard and norm of Buyers state, however, end product of rice processed should be according to the prevail standard and norm of sellers state. 9.2 卖方或生产厂家应对合同设备进行检验并向买方提交厂家的质量合格证书和发货前的检验记录，因此所发生的费用均由卖方承担。 9.2 The Seller and manufacturers should inspect the contracted equipments, and p

61、rovide Buyer with manufacturers certificate of quality and pre-delivery record. All cost and expense is at Sellers account. 9.3 如果发现技术文件所规定的标准和规范不完整，可自主根据卖方国家现行标准和/或其认为其它适当标准进行检验。9.3 If Seller and manufacturer would find there are incomplete on inspection stipulated in the prevail standard and norm
