Definition: Briefly, contract is a promise enforceable by law which may be to do something or to refrain from doing something. It requires the mutual assent of two or more persons, one of them making an or

In addition to, contract also has different forms, it can be made by verbal form, written form or a form expect two of the former forms, both parties will live up to their words. For

3、large or important deals, formal contract should be written with detailed conditions agreed upon by the parties concerned. . 10、or not, if it is allowed clarify the conditions The compensation and responsibilities caused breach the contract The solution for dispute The right alphabets and effectiveness of contract 注 意 : 视 合 同 所 需 而 设 定 的 条 款 。 承 担 条 款 和 保 险 范围 条 款 ,以 便 明 确 责 任 ,避 免 不 必 要 的 争 议 . B. 对 需 要 长 期 连 续 履 行 的 合 同 ,应

11、 当 规 定 有 效期 限 . C. 当 事 人 可 以 在 合 同 中 约 定 的 条 款 .这 是 一 种任 意 性 条 款 ,当 事 人 可 以 约 定 也 可 以 不 约 定 .这类 条 款 依 合 同 类 别 不 同 而 各 有 差 异 .合 同 法 特别 提 示 了 担 保 条 款 :合 同 双 方 当 事 人 都 必 须 提供 担 保 ,包 括 人 的 担 保 和 物 的 担 保 . D. 该 合 同 所 涉 及 到 的 法 定 条 款 .合 同 如 不 具 备这 些 条 款 ,就 得 不 到 批 准 ,则 视 为 该 合 同 无 效 .因 而 ,这 些 条 款 也 就 成 了

12、法 定 条 款 . Sales Contract 定 义 : 买 卖 合 同 是 指 一 方 当 事 人向 另 一 方 转 移 标 的 物 所 有 权 , 另 一方 当 事 人 支 付 价 款 的 合 同 。 在 这 一合 同 关 系 中 , 按 照 约 定 转 移 标 的物 所 有 权 的 一 方 为 出 卖 人 , 接 受 所有 权 并 支 付 价 款 的 一 方 为 买 受 人 。 特 征 : (l)买 卖 合 同 是 转 移 标 的 物 所 有 权 的 合同 。 当 事 人 实 施 买 卖 合 同 , 卖 方 不 仅 要 将标 的 物 交 付 给 买 方 , 而 且 要 将 所 有 权

13、 一 并转 移 。 (2)买 卖 合 同 是 双 务 合 同 。 买 卖 合 同 的当 事 人 双 方 都 事 有 一 定 的 权 利 , 同 时 又 负有 相 应 的 义 务 。 (3)买 卖 合 同 是 有 偿 合 同 。 买 卖 合 同 的有 偿 性 是 指 合 同 的 任 何 一 方 当 事 人 的 获 得都 以 自 己 的 付 出 为 代 价 。 (4)买 卖 合 同 是 诺 成 合 同 。 买 卖 合 同 的双 方 当 事 人 就 买 卖 事 宜 意 思 表 示 一 致 ,合 同 即 告 成 立 , 而 不 以 标 的 物 的 实 际 交 付为 成 立 条 件 。 :The neg

38、quipped with the established technology; whether there are substitute technology; the technology service can be provided by the transferor ; the technology capacity of the transferee; the prices and the payments of the contract; whether the sign technology once did transfer; whether the sign technology implementation does include the technical secret; whether the subject technology should be implemented by a special trainer; how much economic efficiency can the technology increase by using it;
