13、解决方法：1)Negotiation协商，也是最好的解决方式。2）Consultation/Mediation调解，这个时候会有第三方的介入。3）Arbitration仲裁，会有组织或者机构的介入。4）Litigation起诉，会耗费较多的精力、时间甚至金钱。下面是一份合同中的仲裁条款：2).与合同有关的所有争议应先通过友好协商解决。协商不成，可以向中国国际贸易促进会外贸仲裁委员会申请仲裁。仲裁应在上海进行，仲裁委员会做出的裁决为最终结果，双方需共同遵守。任何一方不得到法院或其他部门修改仲裁裁决。仲裁费用由败诉方承担AlldisputesinconnectionwiththeContracto

23、要的。一般涉及：不可抗力事件范围；（战争、动乱、自然灾害等）出具不可抗力事件证明的机构；事件发生后通知对方的期限；不可抗力事件发生后合同的履行和处理等；仲裁（Arbitration）：凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionfora

24、rbitrationwhichshallbeconductedinaccordancewiththeCommissionsarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardsisfinalandbindinguponbothparties.索赔和仲裁索赔：在货物买卖中，常常会发生一方因种种理由而违约的情况，而另一方则有权索取相应的赔偿，这是商务谈判中不可回避的一个问题。关于此问题，通常就以下达成一致：索赔的依据，即在什么情况下可索赔：合同缺陷、履约不够或违约、变更转化为索赔等索赔的有效期限：事件发生（时限）索赔通知事件发展（时限）同期报告事件结束（时限）索赔报告及总账单索赔损失的计算方法等：工期索赔计算：网络分析法、比例计算法经济索赔计算：分项计算法、总费用法、修正总费用法仲裁：是指合同当事人在产生争议不能协商解决的情况下，由仲裁机构居中做出的判断和裁决。一般有以下两个特点：仲裁申请的自愿性仲裁结论的终局性商务谈判中的仲裁条款应协商的问题主要是：仲裁地点仲裁机构仲裁程序仲裁费用我国常设的仲裁机构中国国际经济贸易仲裁委员会中国海事仲裁委员会谢谢在座观赏倾听！
