5、having its principal place of business at 5- (-); and (2) , ( )（以上当事人在本协议中合称“协议双方”或单独称为“协议一方”）(together the Parties and individually a Party)鉴于WHEREASA. 协议一方有意在本总协议期限内进行LNG 的销售，协议另一方有意在本总协议期限内进行LNG 的购买。A Party may have LNG available for sale during the term of this Master Agreement and the other Par

6、ty may wish to purchase LNG during the term of this Master Agreement.B. 协议双方会不定期以销售备忘录的形式达成LNG 买卖协议。The Parties may, from time to time, enter into Agreements for the sale and purchase of LNG by executing Sale Memoranda.C. 本总协议书对适用于协议的通用条款进行了说明。This Master Agreement sets out the general terms and con

7、ditions applicable to Agreements.协议双方约定如下：IT IS AGREED as follows:1. 术语与释义DEFINITIONS AND INTERPRETATION1.1 术语Definitions“实际转售价格”：如果买方未进行一批LNG 货品的接收，卖方对这批LNG 进行转卖而收取的实际价格（以美元/MMBtu 计）。Actual Resale Price means the actual price in USD per MMBtu paid to Seller upon resale of the LNG following a failur

A company is deemed to be affiliated to another if the first company is controlled by, under common control with, or controls the other. A company

11、 shall be deemed to have control of another if (directly or indirectly) it owns a majority of the voting shares, or is entitled (directly or indirectly) to appoint a majority of the directors, of the other company.“协议”：通过实施以本总协议条款为基础的销售备忘录，达成的LNG 购销活动。Agreement means a sale and purchase of LNG concl

12、uded by way of execution of a Sale Memorandum incorporating the terms of this Master Agreement.“允许装卸时长”：装运港船上交货时，销售备忘录中对卖方在装货港的允许装货时长；目的港船上交货时，销售备忘录中对买方在卸货港的允许卸货时长。Allowed Laytime means, in the case of a FOB delivery, Laytime to be allowed to Seller at the Loading Port as stated in the Sale Memorand

13、um, and, in the case of a DAP delivery, Laytime to be allowed to Buyer at the Discharge Port as stated in the Sale Memorandum. “Btu”：英制热量单位，相当于1,055.06 焦耳的热量。Btu means a British thermal unit, being the amount of heat equal to 1055.06 Joules.“Btu/SCF”：每个标准立方英尺的气体在60 华氏度和14.696 磅/平方英寸的绝对压力下所含的Btu 数量（假

17、r for the fulfilment of its obligations under an Agreement, which includes (i) the LNG ship berthing facilities and the Discharge Port facilities, (ii) the LNG unloading, receipt, storage, treatment (if necessary) and regasification facilities, (iii) the Natural Gas (and LNG if applicable) processin

18、g and delivery facilities and (iv) all ancillary equipment, whether or not owned by Buyer and whether operated directly by Buyer or by a Third Party. Such facilities shall include the pipeline that extends from the tailgate of the regasification terminal to the point of interconnection with the down

19、stream primary gas transmission facilities only to the extent such pipeline is specified in the relevant Sale Memorandum.“主管当局”：装货港或卸货港所在国家（或任何其他相关国家）政府或该国任何政治部门的任何机构、机关、部门、检查机构、部长、部门或其它公众或法定人物（无论是否具备自主权）。Competent Authority means any agency, authority, department, inspectorate, minister, ministry o

24、t lines at Sellers Facilities connect with the flange coupling of the LNG Ships loading lines or (ii) in the case of a DAP delivery, the junction point where the flange coupling of the relevant LNG Ships unloading lines connect with the flange coupling of the receiving lines at Buyers Facilities.“交付

25、窗口期”：销售备忘录中规定的一个时间段，相关LNG 船需在该时间段内发出准备就绪通知书。Delivery Window means the period of time specified in a Sale Memorandum within which the Notice of Readiness is to be tendered by the relevant LNG Ship.“滞期费”：以销售备忘录中规定的滞期费为准。Demurrage Rate means the demurrage rate specified in the Sale Memorandum.“DAP（目的港船

28、in Section 13.1.“专家”：根据第16.2 条，为解决争议事项而任命的人员。Expert means a person appointed pursuant to Section 16.2 to resolve a Dispute.“FOB（装运港船上交货）”：根据国际贸易术语解释通则（2010 版）中的定义。FOB has the meaning specified in Incoterms 2010.“不可抗力”：根据第12.1 条中的定义。Force Majeure has the meaning specified in Section 12.1.“整船货”：对在装货港能

30、LNG Ship at the Loading Port and Loading Port restrictions.“天然气供应区域”：生产买卖双方交易LNG 所用天然气的产地区域，以销售备忘录为准。Gas Supply Area means the area, specified in the Sale Memorandum, from which Natural Gas used to manufacture LNG to be sold by Seller to Buyer hereunder is produced.“留底货”：就特定LNG 货品而言，销售备忘录中规定的，（i）目的港

31、船上交货时， LNG 船在卸货后需要保留的LNG 体积或LNG 量，（ii）装运港船上交货时，在开始装载这批LNG 货品之前，LNG 船上预期需要的LNG 体积或LNG 量。Heel means, with respect to a given LNG Cargo, the volume or quantity of LNG specified as such in the Sale Memorandum (i) in the case of DAP deliveries, to be retained by the LNG Ship after discharge; and (ii) in

32、the case of FOB deliveries, expected to be on board the LNG Ship priorto commencement of loading of a LNG Cargo.“IMO”：国际海事组织。IMO means International Maritime Organisation.“所得税”：根据收入一般征收的任何税费。Income Tax means any tax of general application imposed on income.“破产事件”：协议一方经相关法律（或由管辖法院）认定为破产或无法偿还债务的；协议一方终

33、止或暂停，或即将终止或暂停支付该方所有或大部分负债的；协议一方向其所有或大部分负债的债权人，或为相关债权人利益，建议或做出全部财产的移交或债务偿还安排或偿债和解计划，或协议一方或其资产被指定了接管人、管理人、行政接管人、强制经理人或其它类似官员；协议一方导致或遭遇的任何事件经管辖权内的相关法律认定与上述规定破产事件具备类似效果。Insolvency Event means with respect to a Party when such Party is by applicable law (or is found by a competent court to be) insolvent

34、or unable to pay its debts; stops, suspends or threatens to stop or suspend payment of all or a substantial part of its indebtedness; or proposes or makes a general assignment or scheme of arrangement or composition with, or for the benefit of its creditors in respect of all or a material part of it

35、s indebtedness or where a receiver, administrator, administrative receiver, compulsory manager or similar officer in respect of such Party or any of its assets is appointed; or causes or is subject to any event with respect to it which, under the applicable laws of any jurisdiction, has an analogous

37、 (i) the London Interbank Offered Rate as fixed by the British Bankers Association for the offering of deposits in USD, for a three (3) month period in effect at 11:00 hours, GMT on the relevant invoice due date or (ii) if the British Bankers Association ceases to fix or publish the London Interbank

38、 Offered Rate as aforesaid, a reasonably comparable interest rate agreed by the Parties in either case where the associated interest is calculated on the basis of a three hundred and sixty (360) day year, daily accrual and compounding at three-monthly rests.“国际标准”：由国际海事组织（IMO）、石油公司国际海事讨论会（OCIMF）或国际天

40、rminals established by the IMO, OCIMF or SIGTTO (or any successor body of the same) and/or any other internationally recognised agency or organisation with whose standards and practices it is customary for international operators of such ships or terminals to comply.“装卸时长”：装运港船上交货时，根据附件B 第5.1 条中的定义；

44、 of each delivery pursuant to an Agreement, shall be identified in the Sale Memorandum, or subsequently agreed between the Parties, and be used for such delivery.“装货港”：根据协议要求，对交易的LNG 进行装货的港口。Loading Port means the port where LNG purchased and sold under an Agreement is to be loaded.“当地时间”：交付点处的时间。Lo

49、eans a quantity of LNG in MMBtu as specified in the Sale Memorandum and being a good faith estimate of a Full Cargo Lot of the relevant LNG Ship, (i) in the case of a DAP delivery, reduced to take account of the quality of LNG usually applicable at Sellers Facilities, the boil-off rate usually appli

50、cable for a voyage of the LNG Ship between the Loading Port and the Discharge Port in the standard course of the LNG business, the required draft upon arrival at the Discharge Port, and retention where appropriate of the LNG Heel; or (ii) in the case of a FOB delivery, reduced to take account of the

55、n good faith to perform its contractual obligations under an Agreement, and in so doing, and in the general conduct of its undertaking, exercising that degree of skill, diligence, prudence and foresight which would reasonably or ordinarily be expected from a skilled and experienced operator engaged

56、in the same type of undertaking under the same or similar circumstances and conditions.“销售备忘录”：协议双方以附件A 中的表格为基础形成的文件，对协议的条款进行说明，并使协议生效。Sale Memorandum means a document executed by the Parties substantially in the form contained in Schedule A giving effect to and stating the terms of an Agreement.“销售

59、ion, processing, treatment and liquefaction facilities, (ii) the LNG storage and loading facilities, (iii) the LNG Ship berthing facilities and Loading Port facilities, and (iv) all ancillary equipment and utilities, whether or not owned by Seller and whether operated directly by Seller or by a Thir
