23、e have our values in the cornerstone of everything we do,and believing that long-term and trustful business relationships are built based on honesty and transparency.In order to strengthen the ethical business environment and improve its relationships with employees,customers,suppliers,promoters,thi

24、rd parties and partners,Carrefour China launched the Ethics Reinforcement Program.In our daily business activities we frequently face a variety of ethical and legal questions.We must answer them and make our choices consistently with our seven values:Integrity,Freedom,Responsibility,Sharing,Respect,

25、Solidarity and Progress.1.引言 家乐福作为一家在诸多国家和地区有经营业务的大型跨国公司,始终强调员工的职业道德以及各方间的关系。我们的任何行为都以我们的价值原则为基础,并坚信长期互信的业务关系建立在诚信透明的原则之上。为巩固职业道德业务环境,促进改善同员工、客户、供应商、经销商、第三方以及各合作伙伴间的关系,家乐福中国特此开展职业道德强化项目。日常业务经营活动中常会遇到各种各样的道德问题和法律问题。要解决这些问题做出自己的选择必须始终坚持七条价值观:正直、自由,责任、分享、尊重、团结、进步。1.INTRODUCTION To assure that all decis

26、ions we take are based on high level ethical conduct and in compliance with local laws and regulations,Carrefour China implemented its Code of Ethics.This Code of Ethics is applicable to all employees1 and will consider the relationship with suppliers,promoters,third parties,partners and customers.E

27、ach one of us is accountable to comply with the Code of Ethics.This Code is a company guideline.Violations can result in disciplinary action,including contract labor agreement termination or dismissal.If you have any concern about unethical or illegal acts,it is your responsibility to notify Carrefo

30、pect,dignity and courtesy.Carrefour China does not accept discrimination which includes comments or conduct related to race,ethnics,gender,nationality,religion,age,physical or mental condition,medical condition,sexual orientation or marital status.Carrefour China is committed to protect the personal

33、ina provides equal employment opportunity for growth and development for everyone in the company,being in compliance with local and national labor laws and regulations.The criteria for recruitment,hiring,training,and career development at Carrefour China are restricted to:technical qualifications,pe

34、rformance,skills and experience.Employment decisions must be based on business reasons.It is prohibited to all Carrefour Chinas employees to obtain personal earnings3 in the negotiations with suppliers,business partners,or with any other entity.(Necessary)2 Do not do to others what you do not want d

37、 any other forms of abusive or offensive conduct are unacceptable,whether verbal,physical or visual,including but not limited to derogatory comments based on racial or ethnic characteristics,religious beliefs or sexual orientation,insulting remarks concerning a persons disability or unwelcome sexual

38、 advances.Carrefour China encourages all employees to report such related situations.4 Moral harassment:professionals exposition to humiliating and embarrassing situations by hierarchical position,including but not limited to disrespect,ridicule and diminish.5 Sexual harassment:annoying or offensive

41、ale or possession of alcoholic beverages and illegal drugs are prohibited.In addition,employees are forbidden to be in Carrefour Chinas premises or representing the Company under the influence or affected by illegal drugs or alcoholic beverages.Threats or acts of violence,or physical intimidation ar

44、信息;提供客户高品质的照料、服务和产品;提供客户安全友善的购物环境。2.3 RELATIONSHIPS WITH SUPPLIERS Each one of us is responsible to establish lasting and long term relationships with our suppliers,based on mutual respect,cooperation,partnership and equality.The suppliers choice process is exclusively based on clear and objective c

45、riteria,such as product,price,quality,legality and service level without any interference of any aspects that might be characterized as a privilege or discrimination of any kind.It is prohibited to force the suppliers to carry out any behaviors beyond contractual arrangement or company procedures.2.

47、法规。2.5 RELATIONSHIPS WITH MEDIA Carrefour Chinas activities are frequently followed by journalists and media.To ensure that only accurate and truthful information will be provided,all media requests must be forwarded to Public Affairs Division.To avoid legal,financial,image or any other kind of nega

48、tive impacts that might damage Carrefour Chinas business,all media requests and information to be disclosed must be forwarded to the Public Affairs Division.All other Carrefour China employees are forbidden to provide(formally or informally)business information without a prior approval from Public A

49、ffairs Division.2.5媒体 家乐福中国的业务活动常被媒体记者报道。为确保提供的信息准确真实,所有媒体要求必须提交公共事务部。为避免法律、财务、形象或其它损害家乐福中国业务的负面影响,所有媒体要求以及即将批露的信息必须提交公共事务部。未得到公共事务部预先批准之前,禁止所有家乐福中国的员工(正式或非正式形式)披露任何商业信息。3.CONFLICT OF INTERESTS A conflict of interest means an existent or potential conflict between personal and Carrefour Chinas inter

50、ests.Carrefour Chinas interests must always prevail.Therefore,all potential or imminent conflict of interest must be reported in advance to your immediate superior or to the appropriate communication channel in order to be treated and eliminated.Its forbidden to any Carrefour Chinas employee to rece

51、ive or offer money,commission,bribes,kickbacks,rebates,gratuity and any other kind of payment or illegal income as well as obtain personal6 in the relationship with suppliers,business partners,or with any other entity by using the facility of his/her position.Relationship with government will respec

52、t the Chinese protocol7 of business conduct.6 For own benefits,such as money or merchandise,gifts of any amount,trips,lunches and dinners,among others that create or not a personal compromising or obligation.7 Protocol:system of rules for speech and behaviors that must be followed in important occas

53、ions,for example in authorities meeting.3.利益冲突 利益冲突指个人与家乐福中国的利益间即存或潜在的冲突。家乐福中国的利益始终居首位。因此,一切潜在或即将出现的利益冲突必须提前向直接上级或通过合适的沟通渠道汇报以应对消除冲突。禁止任何家乐福中国员工接受或提供钱财、佣金、贿赂、酬金、回扣、赠物等其它形式的报酬或非法收入,禁止利用职务之便与供应商、业务合作伙伴或其他单位机构的关系中获取个人收益6。与政府关系遵从中国的商业行为礼节7。6个人收益指,为个人利益所收受的包括钱财、货品、任意数额的礼物、旅游、宴请等无论上述行为是否构成收受方的个人妥协和履行义务7礼节

54、指,在一些重要场合,如与政府部门会面时,必须所遵从的整套言行规范3.1 HIRING AND CAREER DEVELOPMENT Its not allowed to employees with affective or kin8 relationship to work under direct or indirect subordination.Its an employee obligation to inform the immediate superior and Human Resources Division the occurrence of such situation

55、in order to take the appropriate providences without harming Carrefour China or its employees.Recruiting and hiring process must be in compliance with the following principles:evaluation based only on professional qualifications;recommendation by a Carrefour Chinas employee is only allowed if carrie

56、d through a transparent way-the employee must report it to his immediate superior and to Human Resources Division.The employees participation in the decision processes is strictly forbidden.8 Husband,wife,fianc,mother,father,son,daughter,sister,brother,cousin3.1聘用和职业发展 员工不允许与其有暧昧或亲属关系8在其直属或下属部门工作。员工

57、有义务将该情况告知直接上级和人力资源部门以提前考虑采取适当措施以不损害家乐福中国及其员工的利益。招聘雇用程序必须遵守以下原则:评估只基于专业资历;由家乐福中国内部员工推荐必须透明公开,员工必须向直接上级和人力资源部门汇报。严禁推荐他人的内部员工参与聘用决策过程。8丈夫、妻子、未婚夫(妻)、父母、儿女、(亲/堂/表)兄弟姐妹3.2 GIFTS AND PRESENTS It is prohibited to request or accept any kind of gifts,presents,amenities or discounts from suppliers or potential

58、 suppliers or any person that can,direct or indirectly,influence any business decision or transaction with Carrefour China.Whenever refusing or returning the gift is not possible,the employee must immediately send it to the Risk Prevention Division,becoming Carrefour Chinas asset.This rule also appl

59、ies for the gifts sent to every address including employees home address.3.2礼物 禁止从供应商或潜在供应商或任何可直接或间接影响家乐福中国业务决策或交易的个人索要接受任何形式的礼物、福利便利或折扣。无论何时遇到无法拒绝或归还礼物的情况,员工必须立刻上交风险预防部门,充作家乐福中国的资财。此规则同样适用于递送至员工家庭住址的礼物。3.3 BUSINESS MEALS Business meals might suggest retribution,favor situations and propitiate the l

60、eakage of confidential information.Therefore business activities should be preferably conducted in the company premises.Whenever required,business meals9 with suppliers must follow the“Traveling Expenses Procedure”,in order to assure transparency.9 Including but not limited to breakfast,lunch,dinner

62、 improvements and knowledge to Carrefour.All invitations received must follow the“Traveling Expenses Procedure”.3.4供应商赞助活动 供应商赞助活动只有在下述条件下可被允许:活动目的和内容应严格遵从家乐福中国的业务利益;能给家乐福带来改进与知识。所有接收的邀请必须遵守“家乐福差旅报销程序”。3.5 PRODUCTS TESTING Products testing are restricted to Merchandise Division.Samples received for

63、testing must be kept within Carrefour Chinas premises.They must be returned to the supplier with its evaluation report after testing.Whenever returning the sample is not possible the employee must immediately send it to the Risk Prevention Division,becoming Carrefour China asset.3.5产品测试 产品测试限于商品部。接收
