Quantity to be determined by the Carrying Vessels Draught Survey at Loading Port before and after loadi

14、ng complying with the standard code of practice. The Certificate of Draught Survey Weight to be issued By CCI Indonesia at Sellers account.商品的数量将在装运港装船之前和之后按操作规程以水尺检量作出测定。吃水检验 报告书由印尼CCI签发，费用由卖方承担。ii. The Draught Survey weight at Loading Port, after deduction on excess moisture content above X-28.4%,

Sampling and analysis on the items of Article 4 shall be conducted in accordance with the latest revision and practice of analysis methods of Steam Coal in accordance with ISO S

16、tandards by CCI Indonesia (as the case may be) at Sellers account.对条款4下的项目作出的取样和检验必须由印尼CCI依据最新的、符合ISO国际标 准的煤炭分析检验操作规程，费用由卖方承担。ii. Seller should keep 3 sets sample in three parts at Loading Port: one for CCI Indonesia inspection, one sealed in an airtight container for ninety (90) days by CCI Indones

17、ia as Loading Port umpire sample, one for Buyer to be sent by courier within 7 working days from B/L date.卖方应在装运港抽取样品，并分成三份，一份给印尼CCI检验，一份留在印尼CCI 作为仲裁样品保存90天以备用来可能出现的公断鉴定.最后一份在提单签发日起的7 个工作日内邮寄给买家此费用由买家承担。iii. PRICE AND QUALITY ADJUSTMENT由质量引起的价格变化The price of the coal shall be subject to adjustment in the event of variation i

19、n specification as follows:煤炭价格与指标不一致时，按如下条款调整。6.1 Bonus & Penalty Clause on Calorific Value 净热值的奖罚条款A premium of USD 0.015 /MT will be added to the Base Price for each 1 Kcal/Kg of Net Calorific Value (ARB) above 5,500 Kcal/Kg (ARB). A maximum limit is set at ARB 5900Kcal/kg (ARB) and no more bonus

20、 if more than 5900Kcal/kg (ARB).收到基低位发热量高于5500大卡/公斤,每增加1大卡/公斤,价格增加美元0.015元/吨。 超过5900大卡/公斤以上，就不再奖励。A penalty of USD 0.015 /MT will be deducted from the Base Price for each lKcal/Kg of Net Calorific Value (ARB) below 5,300 Kcal/Kg (ARB). If the Net Calorific Value (ARB) Content falls below 5,300 Kcal/

21、Kg, the Buyer has the right either to rejection or re-negotiate the Base Price at Loading Port.收到基低位发热量低于5300大卡/公斤,每减少1大卡/公斤,价格扣除美元0.015元/吨。 如果收到基低位发热量低于5300大卡/公斤(收到基)，买方有权拒收或买方卖方可以商 议双方可以接受的价格。6.2 Penalty Clause on Sulphur (ADB) 硫的惩罚条款 (空干基)The Base Price shall be reduced by USD0.10/MT for each 0.1

22、% in excess of the 0.8% sulphur content in the Coal, fraction pro-rata. Buyer shall reject if sulphur is above 1.0%.若硫含量超过0.8%,则每公吨增加0.10%,基本价格按比例每吨减少USD0.10。超过1% 拒收。7. PAYMENT 付款7.1 Within five(5) working days upon contract signed, the Seller shall issue 2% Performance Guarantee of 100% cargo value

23、 for first shipment in favour of the Buyer via the mutually agreed Bank Channel as the Guarantee of shipment. If the Seller fails to carry out the shipment as per the contract, the performance bond for 2% of the contract value will be forfeited to the Buyer. The buyer has right to ask forclaim accor

24、ding to theperformance bond.双方签订合同后 5个工作天内,卖方通过银行电开受益人为买方的合同中商订第一次 装船货物价值的总额的2%履约保函. 如卖方无法供货履约,买方将凭此保函进行索赔。7.2 Within three(3)working days upon receipt of Sellers Performance Bond, Buyer will open an operative, irrevocable and non-transferable letter of credit at sight through the Bank of China cove

If buyer could not open LC then sellers PB will automatic dismissed and the cost will charge to buyer account.买方于收到卖方开出的保函3个工作天内, 买方通过中国银行开出总额100%的可使用 的,不可撤消的、不可转让即期跟单信用证。7.3 In the even there is any quality issue as stipulated in Clause 4, the Buyer has the right to ho

26、ld the payment of the final 5% payment only (hereinafter referred to as “the Retention Money”) and both Parties shall settle the Retention Money by amicable negotiation and friendly discussions. If no amicable settlement were reached the case shall be submitted for arbitration as stated in clause 13

27、.如有第4条款下阐明的质量问题发生,买方有权扣留 5%的尾款,双方应通过友好协商 处理。如果不能达到一致的解决方案,将依据第13条款把此争议案递交仲裁。7.4 If there is a dispute on any significant difference in quantity and quality on each shipment, the payment in respect of such shipment of Coal shall be made according to the terms and conditions stated in Clause 5 hereina

The quantity and quality of the coal is determined by CIQ China appointed as a final settlement.如出现数量和质量的争议，每一批货物的货款最终总结算必须依照本合同第 5条款下 阐明的内容执行，以中国国际仲裁指定的CIQ质量数量报告作为最终结算依据。7.5 When Seller cannot perform all terms or part terms of contract, is not enough to compensate as the perfor

29、mance bond of Seller, the loss that Buyer suffers, Seller should do compensation to the Buyer.当卖方不能履行本合同的部分或全部条款时，如卖方履约金不足以补偿买方所遭受的 损失，卖方应向买方作出赔偿。7.6 All bank charges related to the issuance of the DLC are for the Buyers account and all those related to the issuance of the Performance Bond are on th

30、e Sellers Account. Bank charges related to the negotiation of either document are for the respective Beneficiary accounts. 34、ts:卖方首付发票95%的货款金额是根据CCIIndonesia在装运港出具的品质证和重量证计 算，议付时提交以下单证：- Full set of (3 x 3) original, clean on Board Charter Party Bill of Lading, consigned to the order or endorsed to the order of DLC opening bank and marked “Freight Payable as per Charter Party”. Notify party to be advised by the Buyer.3 正

35、3 副的清洁已装船提单(标明货物重量公吨及装运港和目的港) ; 提单应空白背 书、标明收货人为”凭指示”，通知人由买方指定。- 1 original and 1 copy of Certificate of Sampling and Analysis issued by CCI Indonesia. 由 CCI Indonesia 签发的煤炭品质检验报告一正一副。- 1 original and 1 copy of Certificate of weight issued by CCI Indonesia.由 CCI Indonesia 签发的重量证书一正一副。- 1 original and

36、 1 copy of Draft Survey Report issued by CCI Indonesia. 由 CCI Indonesia 签发的水尺测重报告一正一副。- 1 original and 1 copy of Certificate of Origin Issued by competent government authority. 由官方机构或有关部门签发的原产地证明 1正1副。The signed commercial invoice in 3 (Three) originals covering 95% of the contract value based on th

37、e quality and weight report issued by CCI Indonesia at the Loading Port shall indicate this DLC No., the Contract No. showing goods description, Shipping Mark, Quantity, Unit Price, Total Amount and the Payable Amount.基于装港CCIIndonesia出具的品质证及重量证的商业发票一式三份,注明合同号和麦头.8.2 Final Payment:8.2.1 The Seller sh

38、all proceed to claim and draw against thefinal payment comprising the Retention Sum amounting to Five percent (5%) of the Sellers Commercial Invoice Amount within Ten 10) working days after completion of the discharge of the Coal at the Discharge Port. Within the duration of this Ten (10) working da

39、ys, the Buyer shall be responsible to complete the process of and procure a Certificate of Quantity as well as a Certificate of Quality (each of the said Certiifcate to be in 1 copies respectively) issued by CIQ China (whichever comes first) at the Discharge Port so as to enable the Retention Money

40、to be released immediately to the Seller. The Retention Money shall be paid to the Seller upon presentation of the following documents:- 在卸港收到货物10个工作日内，卖方凭提交以下所列与装运货物相关的文件后支付5%信用证金 额：- one Quality Inspection Certificate as well as one Weight Inspection Certificate (hereinafter referred to as “the sa

42、tion port, then the seller has the right tonegotiate the final payment based on CCIC Indonesia of loading port certificate of quality and certificate of weight.卸货完毕后15个工作日内未收到卸货港CIQ出具的重量或质量报告,则可凭装货港CCIC Indonesia报告作为最终付款的依据。9.SHIPMENT装船9.1 Loading Rate: Coal shall be loaded by Seller at 8,000 MT PWW

43、DSHINC 装率:8000公吨 PWWDSHINC9.2 At least 7 days prior to the fixed lay can, the Seller shall, if so requested by the Buyer, authorize and allow the Buyers representative(s) to be present at the Loading Port to monitor the loading of the Coal at Buyers own expense. The Buyers representative(s) must obe

44、y and comply with all loading arrangement/instructions designated (whether orally or otherwise) by CCI Indonesia at the Load Port. Buyer can nominate CCIC Indonesia at Buyers cost and expense if Buyer disagrees with the analysis of inspection at the Loading Port.至少在合同规定的装船期 7天以前,卖方必须发出邀请函,允许买方代表自费到装

46、 load port and within 5 working days after the date of B/L， the Seller shall advise the Buyer by fax or by email on detail of shipment: the contract number， name of commodity， name of carrying vessel， B/L date， B/L number and B/L weight at the loading port.商品装船完成后，卖方应在提单日期起5个工作日以内通过传真或电子邮件，给买方发 货通知，

47、内容包括：合同号、商品名称、船名、提单日期、提单号以及装港重量。9.5 In the event that Seller fails to load the cargo in its entirety into the vessel within the stipulated lay can as confirmed by both parties hereto， thus resulting in Sellers failure to execute this Contract， Buyer shall have the right to claim against Seller for a

48、ll responsibilities， all damages and losses arising from such failure by Seller， save and except where there is an event of Force Majeure as set forth in Clause 12.如果卖方没有在合同规定时间内将货装船或未完全装船而导致合同不能被执行，买方有 权向卖方追究相关责任，导致的损失也可以要求赔偿。由条款12所提到的不可抗拒力原 因造成的另作处理。10. Seller will not take any responsibility.卸货港的滞期费或速遣费由买家承担。10.3 Notice of Readiness 递交 NORNotice of rea

50、diness (hereinafter referred to as NOR) shall be tendered when the vessel arrives at pilot anchor. Captain shall tender NOR at 8:00-17:00 oclock.NOR 应在当地8:00-17:00递交。船舶抵达引水锚地即可递交 NOR。11. PASSING OF TITLE, RISK AND INSURANCE 所有权、风险和保险的转移11.1 Risk in the Product shall pass from the Seller to the Buyer

51、 as theProduct passes the Vessels rail at the Discharging Port.当货物在卸货港口越过船舷时，货物的风险由卖方转嫁给买方。11.2 Title shall pass from the Seller to the Buyer upon receipt of the full Payment in compliance with the terms of this Contract.当收到与合同的条款中相一致的全部付款之后，货物的所有权由卖方转让个买方。Insurance to be covered by Buyer from the t

FORCE MJURE不可抗力因素The Seller shall not be liable to the Buyer nor the Buyer liable to the Seller for any delay, interruption or failure in the performance of obligations herein under if such delay or failure is due to, or results from war (declared or undeclared), embargo, blockade, r

54、evolution, riot, insurrection, mobilization, civil commotion, strike, lockout, act of God or enemies of Indonesia, fire, flood, storm, tempest, laws of any Government which materially affect or prevent Sellers/Buyers ability to perform under this Contract, breakdown of equipment (having a duration o

55、f more then one month), or any other cause or causes beyond the reasonable control of the Seller or the Buyer.The Parties whose performance of any obligation is directly affected by reason of any of the causes referred to hereinabove, shall as promptly as possible give notice thereof to the other pa

56、rty by fax or other means of rapid written communication and shall also within ten (10) days thereafter notify the other party in writing the particulars of the relevant event and supply supporting evidence. The party so affected shall also use its best effort to resume without delay compliance with

ARBITRATION 仲裁This Contract shall be governed and construed

58、 in accordance with the laws of Singapore. Any dispute that may arise out of or in relation to this Contract which cannot be settled by mutual understanding between the Seller and the Buyer shall be brought for final settlement under the rules of Conciliation and Arbitration of the Singapore Court A

59、rbitration Commission by one or more arbitrators appointed in accordance with the said rules. 60、。14. APPLICABLE LAW 适用的法律This Agreement shall be interpreted in accordance with the laws of the Republic of Singapore. 本合同适用的法律为新加坡法律.15. GENERAL 般条款15.1 This Contract constitutes the entire agreement between the parties, and supersedes all prior negotiations, understandings and agreements whether w

61、ritten or oral. This Contract may only be modified, amended or supplemented by an instrument in writing executed by each of the parties.本合同在双方之间完全同意的时机制定的，然而取缔全部合同必须事先协商得到口头或 书面同意及谅解，每一方只能以书面的形式完成本合同的改进、修改和补充。15.2 No waiver partly or wholly of any terms and conditions of this Contract shall be effec

Unless agreed otherwise in writing, any waiver shall apply at the time, if any, specified in the waiver. 不能放弃本合同中的部分或全部条款，除非另有协议外，本合同都是行使有效的。在此 提出任何放弃时都要得到书面同意，还要说明详细放弃内容。15.3 The text of this Contract is in English and Chinese and is signed in 4 originals, two for the B

ADDENDUM 附录All necessary matter(s) which are not covered by or under this contract shall be discuss
