5、 Aurecon will comply with the requirements of all legislation, statutory instruments, codes and mandatory standard applicable to the performance of the Services. 7 Aurecon应遵守所有提供服务所适用的法律、法定文件、规范及强制性标准的规定。8 Aurecon will perform the Services in a timely manner or within an agreed program for the comme

6、ncement and completion of the Services to the extent that it is within Aurecons reasonable control to do so.8 在Aurecon能合理控制的情况下，Aurecon应按时提供服务，或在双方同意的期限内完成服务。Clients obligations委托方义务9 The Client will provide Aurecon with all relevant information and documents relating to the Clients requirements.9 委

8、urecon in performing the Services.11. 委托方应采取合理措施避免延误Aurecon履行其服务。12 The Client will bear the costs of all fees and charges in connection with the performance of the Services including those associated with complying with statutory and regulatory requirements such as permit or approval fees.12 委托方应承担

If no fee or basis for calculating the fee ha

10、s been agreed in the IPW, then Aurecon will be entitled to be paid a reasonable fee taking into consideration the Guideline Scope of Services and Tariff of Fees current at the time the Services are performed, (as applied by Aurecons head office), a copy of which shall be provided by Aurecon to the C

12、s rendered, must be paid in full by the Client within 30 days of date of issue.15 除非在进行工作指示中另有说明，委托方应在Aurecon发出服务费发票的30天内全额支付发票金额。16 If Aurecons fees exclude any goods and/or Services tax, value added tax or equivalent or like taxes (“GST”), the Client shall pay Aurecon the GST applicable to those f

16、的改变形式/附加服务20 Aurecon shall be entitled to be paid a reasonable fee or compensation (including related costs, expenses, loss or damage) for any change required or performed to the Services, unless it is due to a default of Aurecon, as well as a reasonable extension of time to complete the Services as

18、ments to such documents become necessary or desirable because of circumstances beyond the reasonable control of Aurecon, such instructions or amendments shall be considered to be a change to the Services.21 如委托方指令Aurecon要求对Aurecon之前按照本协议发出的图纸、规格或其他文件作出更改，或如因实际情况超出Aurecon的合理控制而导致上述文件的更改成为必须时，此类指令或更改应

19、被视为服务的变更。22 Variations to the Agreement shall only be effective, if agreed upon in writing.22 协议的变更只有在双方书面同意时方为有效。Delay of Time / Force majeure超期/不可抗力23 Aurecon shall be entitled to a reasonable extension of time and for the performance of the Services if Aurecon is delayed in performing the Service

20、s by an act, omission or event beyond the reasonable control of Aurecon.23 如因超出Aurecon合理控制范围的事件、行为、遗漏造成Aurecon履行义务时的超期，Aurecon有权获得期限的延长。24 Events beyond the control of Aurecon includes without limitation, fire, floods, acts of God, acts or regulations of any governmental or supranational authority,

21、war, riot, terrorist activities, strikes, lockouts and industrial disputes.24 超出Aurecon合理控制范围的事件包括但不限于火灾、洪灾、自然力、任何政府或超国家机构的行为或规定、战争、暴乱、恐怖主义活动、罢工、停工以及劳资纠纷。25 If such instance, the affected party shall promptly dispatch a written notice to that effect to the other party.25 如发生上述情况，受影响一方应立即就该情况向另一方给出书面

22、通知。26 If Aurecon is delayed in performing the Services by the Client or its contractors or agents, the Client will pay to Aurecon such costs, expenses, loss or damage incurred by Aurecon or for which Aurecon is liable due to the delay. 26 如因委托方或委托方的承包商或代理责任导致Aurecon在履行服务时超期，委托方需向Aurecon支付Aurecon产生或因

24、lete or otherwise be adversely affected or unsafe to use. 27 双方同意通过电子手段传递的信息不能确保安全或无错无病毒，因此此类信息可能被截取、损坏、改变，或丢失及不完整，或收到不良影响及不再能被安全使用。28 The Client accepts the risk of using drawings, specifications and reports or any other documents issued by Aurecon in electronic form without requesting and checking

32、Termination协议的有效期/终止38 Unless otherwise stated in the IPW, the Agreement shall commence on the date on which the acceptance of the proposal or quotation in writing has been delivered to Aurecon and shall unless terminated as provided for herein, endure until the Services has been delivered and Aurec

33、on has received payment for such Services in full.38 除非在进行工作指示中另有说明，协议应在建议书或报价的书面确认文件提交到Aurecon的当天生效，有效期一直到全部服务结束且Aurecon收到全部服务费为止。39 The Agreement may be suspended or terminated (i) by agreement or (ii) in the event of breach by either party, which the defaulting party fails to remedy within 7 days

39、 other clause in this Agreement, to the extent permissible by law, Aurecon will only be liable to the loss, damage or injury to the extent and in the proportion to which such loss, damage or injury is caused by the fault of Aurecon.45 无论本协议中其余任何条款的规定，Aurecon仅在法律许可的范围类对因Aurecon过错产生的损失、损害相应承担赔偿责任。46 D

40、espite any other clause in this Agreement, Aurecons aggregate liability to the Client arising out of the performance or non- performance of the Services, whether under the law of contract, tort (including negligence), statute or otherwise, shall be limited to the extent permissible by law to twice t

41、he fee payable to Aurecon under this Agreement (excluding reimbursable expenses and GST).46 无论本协议中其余任何条款的规定，Aurecon因服务的作为或不作为而产生的对委托方的总计责任，无论其是在合同法下，或是侵权行为（过失），应按照法律规定不超过按照本协议Aurecon应支付费用的两倍（不包括可补偿费用和消费税GST）。47 In the event of joint liability with others, Aurecon will only be liable to the loss, dam

43、uding negligence), statute or otherwise, shall be deemed to have been discharged at the expiration of 3 years from the completion of the Services and the Client is thereafter barred from commencing any action or making any claims against the Consultant in connection with the Services, unless legal p

46、 by negotiation. This entails that the one Party invites the other in writing to a meeting and to attempt to resolve the dispute within 7 days from date of the written invitation. If the dispute has not been resolved by such negotiation, the Parties shall submit the dispute to conciliation and arbit
