55、发盘人(offer)又叫报盘,发价和报价,是交易的方向另一方提出各项交易条件,并乐意按这些条件达到交易、签订合同买卖某种商品的表达。发盘可以在收到询盘后发出,也可以未经询盘直接发出:发盘可以是卖方的行为,习惯上称为售货发盘;也可以是卖方的行为,称为购货发盘或递盘。在实际业务中,一般以卖方的发盘居多。发盘对发盘人具有法律上的约束力,在其有效期内,若受盘人表达完全批准发盘内容,则发盘人必须按发盘条件与受盘人签订合同。构成发盘的四个条件1.向一种或一种以上特定人提出;2.有签订合同的肯定表达明确表达发盘人受其约束;3.内容十分拟定;4.发盘必须送达受盘人。发盘有效期但凡发盘,均有有效期,发盘的有效期

56、是指发盘供受盘人接受的期限,也是发盘人对发盘承受约束的期限。发盘的失效1.过期;2.回绝;3.还盘;4.禁令;5.交易双方当事人丧失了行为能力。发盘的撤回和撤销撤回和撤销属于两个不同的概念。撤回是指在发盘尚未生效,发盘人采用行动、制止它的生效。而撤销是指发盘已生效后,发盘人以一定方式解除发盘的效力。公约中规定,一项发盘,虽然是不可撤销的,也可以撤回,但前提是撤回的告知要在发盘达到受盘人之前或同步达到受盘人。根据公约的规定,发盘也可以撤销,其条件是:发盘人撤销的告知必须在受盘人发出接受告知之前传达到受盘人。但在下列状况下,发盘不能再撤销:1.发盘申注明了有效期,或以其她方式表达发盘是不可撤销的;
