Definitions1. 定义1.1 In this Con tract, the followi ng terms shall be in terpreted as in dicated:1.体合同下 列术语应解释为：1) “The Contract” means the agreement entered into between the Purchaser and Supplier, as recorded in the Contract Form signed by the parties, includ

3、 obligati on s.2“合同价”系指根据体合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价格。3) “The Goods” means a1loft11e equipment, machinery, and/or other materialswhich the Supplier is required to supply to the Purchaser under the ContracQ3 “货 物”系指卖方根据体合同规定须向买方提供的一切设备、机械和/或其他材料。4) “The Services” means those services ancillary to

4、the supply of the Goods, such as transportation and insurance, and any other incidental services, such as installation, commissioning, provision of technical assistance, training, and other such obligations of the Supplier covered under the Contact.4 “服务”系指根据体合同规定卖方承 担与供货有关的辅助服务，如运输、险以及其他的伴随服务，例如安装、

Standards4标准4.1 The Goods supplied under this Contract shall conform to the standards mentioned in the Technica

11、l Specifications, and, when no applicable standard is mentioned, to the authoritative standards appropriate to the Goods, country of origin. Such standards shall be the latest issued by the con cerned in stituti on.4.本合同下交付的货物应符 合技术规格所述的标准。如果没有提及使用标准，则应符合货物来源国适用的 官方标准。这些标准必须是有关机构发布的最新版本的标准。4.2 All m

12、easurements shall be the measuring unit officially published by the government of the PRC, unless otherwise specified in the Technical除非技术规格中另有规定，计量单均采用中华人民共和国法 定计量单位。5. Use of Co ntract Docume nts and In formatio n5 使用合同文件和资料5.l The Supplier shall not, without the Purchasers prior written consent,

13、disclose theContract, or any provision thereof, or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the Purchaser in connection therewith, to any person other than a person employed by the Supplier in the performance of theContract. 5.1 使用买方事先书面同意，卖方不得将由

14、买方或代表买方提供的有 关合同或任何合同条文、规格、计划、图纸、模型、样品或资料提供给与履行 合同无关的任何其他人。Disclosure to any such employed person shall be made in confidence and shall extendonly so far as may be n ecessary for purposes of such performa nCfr使向与履行合同 有关的人员提供，也应注意保密并限于履行合同必须的范围。5.2 The Supplier shall not, without the Purchasre没有买方事先书面

Pate nt Rights6.专利权6.1 The Supplier shall indemnify the Purchaser against ail third-party claims of infringement of patent, trademark, copyright or other inteliectl1al property rights aris ing from use of the Goods or any part thereof

17、 in the PRC.6.卖方应保证，买方 在中华人民共和国使用该货物或货物的任何一部分时，免受第三方提出的侵犯 其专利权、商标权或工业设计权的起诉。7. Performa nee Security7.履约保证金7.1 Within thirty (30) days of receipt of the notif1cation of Contract award, the Supplier shall furnish to the Purchaser the performance security in the amount specified in TCC.7.1 卖方应在收到中标通知书

18、后三十( 30)天内，向买方提交合 同条款资料表中所规定金额的履约保证金。7.2 The proceeds of the performance security shall be payable to the Purchaser ascompensation for any loss resulting from the Supplier履约保证金用于补偿买方因卖方不能完成其合同义务而蒙受的损失。7.3 The performance security shall be denominated in the currency of the Contract, or in a currency

19、 acceptable to the Purchaser and shall be in one of the following forms:7.3 履约保证金应采用本合同货币，或买方可以接受的一种可自由兑换的货币并采用下述方式之一提交：1) a bank guarantee or an irrevocable letter of credit issued by: (i) a reputable bank located in the PRC or, (ii) a reputable bank abroad acceptable to the Purchaser though a repu

I nspectio ns and Tes

22、ts8 检验和测试8.1 The Purchaser or its representative shall have the right to inspect and/or test the Goods to confirm their conformity to the Contract specifications at no extra cost to the Purchaser, 8.1买方或其代表应有权检验和 /或测试货物，以确认货物是否符合合 同规格的要求，并且不承担额外的费用。TCC and the Technical Specifications shall specify

23、what inspections and tests thePurchaser requires and where they are to be con ducte合 同条款和技术规格将说明 买方要求进行的检验和测试，以及在何处进行这些检验和测试。The Purchaser shall notify the Supplier in writing, in a timely manner, of the identity of any represe ntatives retai ned for these purpose买方将及时以书面形式把进行检 验和/或买方测试代表地通知卖方。8.2 T

24、he inspections and tests may be conducted on the premises of the Supplier or itssubco ntractor(s),at point of delivery,a nd/or at the Goods final desti natio检验8.2和测试可以在卖方或其分包人的驻地、交货地点和 /或货物的最终目的地进行。If conducted on the premises of the Supplier or its subcontracto(rs),all reasonable facilities and ass

25、istance, including access to drawings and production data, shall be furni shed to the in spectors at no charge to the Purchaser 果在卖方或其分包人的 驻地进行，检测人员应能得到全部合理的设施和协助，买方不应承担费用。8.3 如果任何被检验或测试的货物不能满足规格的要求，买方可以 拒绝接受该货物，卖方应更换被拒绝的货物，或者免费进行必要的修改以满足 规格的要求。8.4 The Purchaser s right to inspect, test and, where n

26、ecessaryth,ereGjeocotds after the Goods arrival at the port of destination and/or the site shall in no way be limited or waived by reason of the Goods having previously been inspected, tested, andpassed by the Purchaser or its representative prior to the Goods nt from the shipme country of origin.8.4 买方在货物到达目的港和 /或现场后对货物进行检验、测试 及必要时拒绝接受货物的权力将不会因为货物在从来来源国启运前通过了买方 或其代表的检验、测试和认可而受到限制或放弃。
